As we scale, we are seeking a senior legal leader who can operate at the intersection of revenue growth, product innovation, and risk management.

Requirements

  • Juris Doctor (JD) from an accredited law school; active bar membership required.
  • 10–15+ years of legal experience, including: o Significant experience in commercial contracting preferred o Combination of law firm and in-house experience preferred
  • Experience supporting sales organizations and high-volume contract environments.
  • Demonstrated expertise in intellectual property strategy and management.
  • Experience with international commercial transactions and cross-border legal considerations.
  • Demonstrated experience supporting corporate transactions, including M&A, strategic investments, or joint ventures.
  • Experience advising on or supporting debt financing, credit agreements, or capital markets transactions (public or private).
  • Strong understanding of transaction structuring, due diligence processes, and deal execution in a growth-oriented environment.
  • Ability to effectively partner with the board, executive leadership, investors, lenders, and external advisors on complex financial and strategic transactions.

Responsibilities

  • Serve as the lead legal partner to Sales and Revenue leadership, enabling efficient deal execution and supporting complex customer negotiations.
  • Draft, review, and negotiate high-volume, high-value commercial agreements, including: o Enterprise customer contracts o Construction and real estate-related agreements o Technology and SaaS agreements o Strategic partnerships and vendor agreements
  • Establish scalable contract frameworks, playbooks, and fallback positions to increase deal velocity and consistency.
  • Provide clear, actionable guidance on risk trade-offs to support informed business decisions.
  • Act as a trusted advisor to the Board, Co-Chairmen, CEO, CRO, CFO, CHRO, and broader executive team.
  • Provide counsel on a range of matters including: o Corporate transactions and strategic initiatives o International and domestic commercial activity and expansion o Regulatory considerations and emerging risks
  • Translate legal complexity into practical business guidance aligned with company objectives and risk tolerance.
  • Lead strategy and execution for Kastle’s intellectual property portfolio, including: o Patents, trademarks, and copyrights o Protection of proprietary technology and product innovations
  • Partner with product and engineering teams to ensure IP considerations are embedded early in development.
  • Coordinate with external counsel on filings, enforcement, and portfolio management.
  • Oversee legal aspects of compliance, including: o Government contracting requirements (e.g., GSA) o Licensing, regulatory, and operational risk considerations o Data Privacy/Information Security
  • Implement practical, scalable risk management frameworks aligned to business needs.
  • Support corporate governance activities and ensure adherence to internal policies and regulatory requirements.
  • Manage litigation and dispute resolution in partnership with outside counsel.
  • Select, engage, and oversee external legal partners to ensure high-quality, cost-effective support.
  • Coordinate specialized legal areas (employment, international law, M&A) through appropriate internal stakeholders and external advisors.
  • Provide legal oversight for international commercial transactions and customer engagements.
  • Identify and manage risks related to cross-border sales, data privacy, and regulatory requirements.
  • Partner with external counsel in foreign jurisdictions as needed.
  • Provide legal leadership and support for corporate transactions, including mergers and acquisitions, strategic investments, joint ventures, and divestitures.
  • Partner with executive leadership and external advisors on capital markets and debt financing activities, including credit facilities, refinancing, and lender negotiations.
  • Lead or coordinate legal diligence, transaction structuring, negotiation, and execution for complex deals, ensuring alignment with business strategy and risk tolerance.
  • Support the company’s long-term growth strategy by advising on transaction readiness, governance, and deal execution frameworks.
  • Provide occasional legal input on matters impacting affiliated entities in coordination with leadership.
  • Support enterprise-wide initiatives where legal alignment across entities is beneficial.
