About The Position

The Senior Manager, Tax & Treasury is a critical member of Omni's newly formed Finance organization, reporting directly to the Controller. As Omni's sole dedicated Tax and Treasury senior manager at launch, this individual will own the governance, oversight, and strategic direction of all tax and treasury activities globally, spanning the United States, United Kingdom, Canada, Argentina, Brazil, and Australia as well as other countries. No Thomson Reuters tax or treasury resources are expected to transfer at close, making this a foundational Day 1 hire. This is a greenfield opportunity for a seasoned professional who thrives in ambiguity, can build a function from the ground up, and is comfortable serving as the informed internal decision-maker while directing external advisors who perform the technical execution. The Senior Manager, Tax & Treasury will collaborate closely with the Controller and CFO across Finance, Legal, HR, and Operations to ensure Omni operates, transacts, complies, and reports as a fully independent global business.

Requirements

  • Bachelor's degree in Accounting, Finance, or a related field; CPA, CTP, JD, or equivalent professional credential.
  • 10+ years of progressive experience across tax and/or treasury, with a minimum of 5 years in a leadership capacity spanning multiple disciplines.
  • Experience directing external tax advisors as the informed internal owner, including reviewing and approving technical deliverables.
  • Strong working knowledge of ASC 740 and/or IFRS IAS 12, transfer pricing principles, indirect tax compliance, and treasury cash management and FX fundamentals.
  • Demonstrated ability to operate in ambiguity, build structure quickly, and drive outcomes under aggressive timelines in a greenfield environment.

  • Experience working within a carve-out, divestiture, or newly standalone company environment.
  • Demonstrated multi-jurisdictional experience across US federal, state and local, and international obligations; UK, Canada, and/or LATAM (Argentina, Brazil) experience.
  • Experience managing globally distributed finance operations with multiple legal entities and complex organizational structures.

Responsibilities

  • Own and manage Omni's global tax function across direct tax, indirect tax, transfer pricing, tax accounting and provision, and controversy.
  • Define the Day 1 tax operating model, including RACI, decision rights, escalation pathways, and governance forums across Finance, Legal, HR, and Operations.
  • Select, direct, and manage external tax providers and local jurisdiction counsel, serving as the informed internal client who approves all technical positions and deliverables.
  • Oversee and approve Omni's complete tax footprint across all six legal entities, including entity classifications, nexus positions, and multi-jurisdictional registrations for Day 1.
  • Direct all US federal, state, local, and international income tax compliance and planning engagements; review and approve all filings, elections, and technical positions.
  • Manage specialty tax obligations (property tax, business licenses, excise, withholding tax) and lead tax controversy and audit responses across all jurisdictions.
  • Direct the design of a net-new transfer pricing framework, reviewing and approving methodology, intercompany agreements, and governance procedures.
  • Oversee and approve VAT/GST, sales and use tax, and withholding tax registrations and configurations across all jurisdictions.
  • Oversee ongoing TP documentation and true-up processes and ensure indirect tax compliance calendars and filings are managed across all active jurisdictions.
  • Oversee and approve the income tax provision framework under IFRS, including deferred tax methodology, uncertain tax positions, and carryforward attributes.
  • Review and approve opening balance sheet tax accounting, purchase price allocation entries, and carve-out trial balance inputs prepared by external advisors.
  • Lead the establishment and ongoing management of the Company's banking infrastructure across all NewCo legal entities, including KYC/AML compliance, signatory governance, banking platforms, payment controls, cash management structures, and banking partner relationships.
  • Establish and oversee the Company's liquidity management framework, including daily cash visibility, cash positioning, cash flow forecasting, working capital monitoring, debt covenant compliance, and lender reporting in coordination with KKR and financing partners.
  • Define and maintain the Company's foreign exchange and treasury risk management framework, including functional currency determinations, FX exposure management, multi-currency banking and payment activities, and treasury-related controls supporting global operations.
  • Oversee the Company's insurance and risk financing programs, including D&O, property and casualty, cyber, and surety bond coverages, in partnership with Legal, Finance, and external insurance advisors.
