About The Position

Carrier Global Corporation is seeking a Senior Manager, General Legal to serve as a senior legal advisor for strategic and national accounts, data center opportunities, and other complex commercial relationships. The role leads sophisticated commercial negotiations and develops practical, scalable contracting approaches that support business growth while appropriately managing legal and commercial risks. The position works closely with sales, account leadership, operations, finance, engineering, compliance, and other functions. The successful candidate will independently lead significant commercial matters, translate complex issues into practical recommendations, and support informed business decisions. The position reports to the Director, General Legal and is part of the Climate Solutions Americas legal team.

Requirements

  • Juris Doctor from an accredited U.S. law school.
  • Admission to practice in at least one U.S. jurisdiction.
  • At least 8 years of law firm or in-house corporate and/or commercial legal experience advising businesses on contract negotiation and/or transactional matters.
  • At least 6 years of demonstrated ability to independently lead sophisticated B2B negotiations involving multiple internal and external stakeholders.
  • Strong commercial contracting and risk-allocation skills, sound judgment, and ability to provide practical, actionable recommendations.
  • Ability to communicate complex issues clearly to executives and non-lawyers and work effectively across functions.

Nice To Haves

  • Experience supporting strategic, national, enterprise, or similarly complex customer accounts.
  • Experience with data centers, mission-critical infrastructure, manufacturing, building systems, industrial products, technology, distribution, major construction, equipment projects, or similarly complex B2B transactions.
  • Experience assessing and negotiating project-specific risks involving schedule, delay, performance, commissioning and acceptance, service levels, liquidated damages, and multi-party delivery structures.
  • Consultative, strategic, collaborative, and solution-focused approach, with the ability to develop practical alternatives rather than merely identify legal issues.
  • Ability to work effectively with incomplete information, evolving business models, competing priorities, and time-sensitive commercial demands.

Responsibilities

  • Serve as a primary legal advisor for strategic and national accounts, data center opportunities, and other significant commercial relationships, engaging early in account planning and transaction strategy.
  • Structure, review, and negotiate sophisticated B2B agreements, including master supply and services agreements, account and project agreements, statements of work, amendments, change orders, and channel arrangements.
  • Develop scalable frameworks for repeat business across projects, locations, business units, purchasers, affiliates, and channel partners while preserving appropriate project-specific review and controls.
  • Advise on commercial and project risks, including scope, schedule and delay, performance obligations, testing and acceptance, service levels, warranties, liability, indemnification, cybersecurity, supply-chain constraints, third-party dependencies, and flow-down obligations.
  • Align contractual commitments with technical capabilities, execution plans, production and supply-chain constraints, and approved commercial and financial assumptions.
  • Propose practical alternatives when customer terms or contracting models cannot reasonably be accepted, and exercise sound judgment on negotiation positions and escalation.
  • Partner with business leaders and subject-matter experts, including Finance, Operations, Engineering, Compliance, Tax, Insurance, Privacy, Cybersecurity, and Intellectual Property, as appropriate.
  • Translate complex legal and commercial issues into concise, business-oriented recommendations for executives and other stakeholders.
  • Develop and improve templates, playbooks, fallback positions, escalation criteria, and practical training to support consistent and efficient contracting.
