About The Position

The Senior Legal Specialist will provide support to the Corporate Secretary by gathering and reviewing routine Board materials, managing the Board portal, and supporting meeting-related issues. This role involves analyzing formation documents, ensuring US entities remain in good standing, managing delegations of authority, and maintaining corporate records. The specialist will also handle lobbyist and PAC filings, draft and review routine documents, and assist with projects. Key responsibilities include balancing demands, anticipating needs, and demonstrating professionalism in a fast-paced environment.

Requirements

  • Typically, more than 2 years of related experience
  • Bachelor’s degree and/or paralegal certificate
  • Proven success in project management, administration or other field requiring strong organizational skills and attention to detail
  • Demonstrates a composed, confident presence with a high level of professionalism
  • Maintains composure and effectiveness in a fast-paced environment with evolving demands and priorities
  • High energy and strong work ethic
  • Active thinker; detailed and quality oriented

  • Board of Directors and/or Senior Executive Leadership exposure is a plus
  • Experience with using SharePoint, Blueprint, and Diligent a plus

Responsibilities

  • Gathering routine Board materials from various internal departments and reviewing materials to ensure accuracy and presentability
  • Using the Board portal “Diligent Boards” and creating Board books and managing access
  • Supporting the Corporate Secretary of various entities on pre/post Board and Committee meeting-related issues
  • Analyzing corporation, LLC and partnership formation documents, including articles of incorporation, operating agreements, and board and shareholder consents and ensure compliance therewith
  • Handling and ensuring US entities remain in good standing with various State requirements including managing insurance company Certificate of Authority annual renewals in all jurisdictions
  • Managing delegations of authority to various business areas
  • Handling and ensuring our US entities’ corporate records are up to date on Blueprint and SharePoint
  • Establishing and maintaining files for the department on SharePoint and Corporate Secretary Shared Drive
  • Managing Federal lobbyist and PAC disclosure filings
  • Drafting and reviewing routine documents with supervision for internal and external use
  • Assisting and providing support with supervision on various routine projects
  • Balancing opposing demands and anticipating and prioritizing what’s most critical, while demonstrating the highest level of service and professionalism
