About The Position

Our client, a leading global specialty chemicals company, has exclusively retained Solutus Legal Search to assist its executives in hiring an attorney to serve as Senior Legal Counsel. The Senior Counsel will manage sophisticated legal matters while interacting with senior business leadership around the company, including the General Counsel and members of the C-Suite. This role will report to the Vice President, HSE Policy and Deputy General Counsel. The role is based in the Company’s U.S. headquarters just outside of Philadelphia, with 5x a week in office required. The ideal candidate will have at least 5 years of experience with a variety of corporate and commercial agreements and transactions. Requirements

  • Strong academic credentials, including a J.D. from a well-respected U.S. law school with license to practice in at least one state.
  • 5+ years relevant working experience, with strong training at a top-rated national or international law firm. Prior in-house experience strongly preferred.
  • Broad exposure to multiple types of legal matters and areas of experience.
  • Extensive experience in drafting, reviewing, and negotiating a wide range of commercial agreements and other legal documents (including sales and purchase contracts and distribution agreements).

Nice To Haves

  • Experience in supporting M&A transactions, including due diligence reviews and integration planning/implementation is a plus.
  • Solid dispute resolution experience and solid command of antitrust principles is a plus.
  • Experience in environmental, health and safety legal matters is a plus.

Responsibilities

  • Serve as legal advisor to Procurement on a wide variety of agreements, including SaaS and other technology agreements, energy contracts, logistics and transportation agreements, and other supply-chain-related agreements.
  • Advising the company’s Integrated Supply Chain stakeholders, including Procurement, Operations, Real Estate and/or Human Resources on a variety of legal matters, including legal risk management, contract structure, dispute avoidance, and litigation support, including coordination with outside counsel and internal stakeholders.
  • Conduct and support internal compliance investigations and advise on remedial actions.
  • Supporting international matters from time to time.
  • Acting with a high level of independence, while safeguarding the Company’s strategic objectives from a legal perspective.
