As we continue this exciting growth journey, we are seeking a Senior Legal Counsel to join our team and play an important role in supporting the company's continued expansion across Canada.

Requirements

  • LL.B. or J.D. from a recognized Canadian law school.
  • Member in good standing of the Barreau du Québec.
  • Approximately 5-8 years of corporate/commercial legal experience.
  • Demonstrated experience supporting mergers and acquisitions, including due diligence, drafting and negotiating transaction documents, coordinating closings, and supporting post-acquisition integration.
  • Strong commercial contract drafting and negotiation experience.
  • Practical knowledge of employment law, corporate governance, and privacy legislation.
  • Experience working collaboratively with external legal counsel.
  • Fully bilingual in English and French (spoken and written), as this role supports teams and business activities across Canada.
  • Business-minded with strong commercial judgment.
  • Practical, collaborative, and solutions oriented.
  • Comfortable working in a fast-paced, entrepreneurial environment.
  • Strong drafting, negotiation, analytical, and organizational skills.

Responsibilities

  • Serve as the primary internal legal resource supporting Victoria Park's acquisition strategy.
  • Coordinate legal due diligence alongside Finance, Human Resources, Operations, Integration teams, and external legal counsel.
  • Review, draft, and negotiate Letters of Intent, Asset Purchase Agreements, Share Purchase Agreements, disclosure schedules, transition agreements, and other transaction documents.
  • Identify legal risks throughout the transaction process and provide practical recommendations that support sound business decisions.
  • Coordinate legal workstreams to help ensure transactions progress efficiently and on schedule.
  • Support legal matters relating to post-acquisition integration, including the review and harmonization of contracts, employment documentation, and corporate records.
  • Assist in developing standardized acquisition processes, templates, and documentation to support Victoria Park's continued growth.
  • Draft, review, negotiate, and advise on a wide range of commercial agreements, including Professional Services Agreements with physicians, nurses, and healthcare providers; Vendor and supplier agreements; Technology and software agreements; Marketing and partnership agreements; Confidentiality and non-disclosure agreements; Lease agreements and amendments; and Other commercial and operational contracts.
  • Develop practical contract templates and legal playbooks to improve consistency and efficiency.
  • Provide timely, practical, business-focused legal advice to leaders across the organization.
  • Support contract negotiations while balancing legal risk with commercial objectives.
  • Help improve legal processes and contract management practices.
  • Provide practical legal guidance on employment-related matters, including employment agreements, workplace policies, and general employment legislation.
  • Support Human Resources with day-to-day legal questions while partnering with external employment counsel on complex matters.
  • Provide legal guidance relating to privacy legislation, including Québec's Law 25, PIPEDA, and PHIPA.
  • Support leaders in understanding healthcare regulatory and consumer protection requirements relevant to our business.
  • Identify legal and compliance risks and recommend practical solutions.
  • Support Executive Team and Board initiatives from a legal perspective.
  • Recommend practical approaches to managing legal risk while supporting business objectives.
  • Help establish scalable legal processes that support the company's continued growth.
  • Act as the primary internal contact for external legal counsel.
  • Determine which matters are best managed internally and when specialized legal expertise is required.
  • Coordinate external legal resources to ensure timely, practical, and cost-effective legal support.
  • Manage legal budgets and external legal spend.
  • Identify opportunities to bring repeatable and appropriate legal work in-house while continuing to leverage external expertise where it adds value.
