Requirements

  • US-qualified attorney with several years of experience in commercial, technology, SaaS, or in-house legal roles.
  • Demonstrated ability to independently manage and negotiate complex B2B and enterprise customer agreements.
  • Experience supporting sales teams and advising business stakeholders in a fast-paced, international environment.
  • Strong understanding of SaaS contracts, technology transactions, data protection, intellectual property, and commercial risk.
  • Pragmatic, commercially minded, highly organized, and comfortable working autonomously while collaborating across functions and geographies.
  • Strong experience drafting, reviewing, and negotiating B2B commercial agreements, particularly SaaS and technology contracts.
  • Solid knowledge of key contractual provisions, including liability, indemnification, warranties, intellectual property, confidentiality, data protection, service levels, and termination.
  • Practical understanding of US commercial law and familiarity with Canadian commercial contracting practices.
  • Experience supporting enterprise sales transactions, procurement processes, and complex customer negotiations.
  • Ability to develop and use contract templates, negotiation playbooks, clause libraries, and contract lifecycle management tools.

Responsibilities

  • Lead the drafting, review, negotiation, and execution of commercial agreements for DiliTrust’s US and Canadian markets.
  • Advise Sales, Account Management, Customer Success, Professional Services, Finance, and other stakeholders throughout the contract lifecycle.
  • Negotiate key contractual provisions, including liability, indemnification, data protection, intellectual property, confidentiality, warranties, service levels, and termination rights.
  • Develop and maintain contract templates, negotiation playbooks, fallback positions, and approval guidelines to streamline deal execution.
  • Provide practical legal training and guidance to commercial teams while identifying opportunities to improve contracting processes and risk management.
