You will join the team as a Senior Law Clerk, bringing your experience and interest in corporate law to support complex legal matters and client engagements.

Requirements

  • Minimum of 15 years of experience as a Corporate Law Clerk
  • Demonstrated experience supporting complex corporate and transactional matters
  • Experience working with corporate databases and document management systems such as MinuteBox and NetDocuments
  • Strong written and verbal communication skills for client and internal interactions
  • Proven ability to manage competing priorities and meet deadlines with sound judgment
  • High attention to detail and strong organizational skills
  • Advanced proficiency with Microsoft 365 and related technology tools

Nice To Haves

  • ILCO certification or equivalent professional designation considered an asset

Responsibilities

  • Manage corporate records, including minute books, registers, ledgers, and corporate entity databases to ensure data integrity
  • Prepare and file documentation related to formations, amendments, continuances, amalgamations, arrangements, extra‑provincial registrations, and dissolutions
  • Assess registration requirements across jurisdictions and oversee related filings, amendments, and annual returns
  • Prepare and review corporate and transactional documents, including closing agendas, agreements, resolutions, and ancillary materials
  • Support intercompany and third‑party transactions, including post‑closing organization and record maintenance
  • Prepare board and shareholder meeting materials, officer certificates, and notarial certificates
  • Serve as a key point of contact for corporate secretarial matters, responding to complex client and internal requests
  • Support and collaborate with lawyers and clerks, including sharing knowledge and contributing to team development
