This position also requires the candidate to be able to interact fluently with colleagues in our offices across Canada, where English is the predominant language. Since we estimate that more than 60% of the work required for this position must be performed in English, the language requirements for this position are a high level of written and reading comprehension, as well as a beginner level of spoken communication. We are recruiting for a Law Clerk/Paralegal to join our team in our Montreal office. The successful candidate must have a minimum of 1–2 years of experience in corporate law and will be responsible for preparing and filing corporate documents, conducting corporate searches and minute book reviews, maintaining corporate records and databases, assisting with corporate filings, and ensuring compliance with legislative and government requirements. Requirements

  • College Degree/Certificate in Paralegal studies
  • Minimum 1-2 years of experience in corporate law
  • Bilingualism (French and English)
  • High level of written and reading comprehension in English
  • Beginner level of spoken communication in English

Responsibilities

  • Preparing and drafting annual returns and updating declarations
  • Preparing and drafting annual resolutions/minutes
  • Preparing and drafting incorporations and organizations
  • Preparing and drafting extra-provincial registrations
  • Preparing and drafting business name registrations
  • Preparing and drafting amendment documents pertaining to name change, change of number of directors and change of registered head office
  • Preparing and drafting short-form amalgamations and simple continuances
  • Preparing and drafting standardized share conditions
  • Requesting and interpreting corporate searches, then reviewing and summarizing the information gathered
  • Conducting basic minute book reviews, with supervision and direction
  • Ongoing training in corporate law
  • Maintaining and updating databases
  • Assisting with the preparation or filing of other documents
  • Keeping current on changes in legislation and government policy and informing others as appropriate
  • Ensuring quality and accuracy of work, and ensuring work is completed within reasonable time frames
