About The Position

The Senior Counsel is a lawyer in Cencora’s Legal Department who provides business-oriented, effective and efficient legal services, project management, and strategic counseling on matters related to sourcing indirect goods and services. The role works with key stakeholders on the Indirect Sourcing team and reviews and negotiates a high volume of commercial vendor agreements, including master services agreements, statements of work, license, equipment, and consulting agreements. The Senior Counsel handles legal matters and projects with minimal supervision in most instances, provides legally compliant and business-oriented recommendations, and may take on mixed legal and business responsibility for contracts or other matters. The role represents Cencora and client groups in developing, negotiating, finalizing, and maintaining indirect supplier contracts, and may participate directly in legal and business negotiations. The lawyer may also supervise and project manage other legal professionals and outside counsel. The position requires managing multiple matters, prioritizing work, adapting to change, and seeking developmental opportunities. Requirements

Minimum of 4 to 8 years of experience as a lawyer, combined with expertise in contracts and commercial law.
Demonstrated ability to assist with the full contract lifecycle for sourcing agreements, including intake, issue-spotting, negotiation support, redlining, stakeholder alignment, and post-execution contract maintenance.
Law degree from an accredited law school and admission to a state bar.
Significant knowledge of indirect sourcing concepts, practices, contracts, and legal procedures.
Strong experience reviewing, drafting, and negotiating a wide range of commercial contracts.
Working knowledge of corporate law litigation, antitrust laws, privacy laws, and court and regulatory agency procedures, including FTC and FDA procedures.
Ability to supervise outside lawyers working on matters for Cencora.
Ability to communicate effectively orally and in writing.
Strong interpersonal skills, judgment, leadership, presentation, and organizational skills, with attention to detail.
Ability to resolve complex issues effectively and interpret legal trends.
Ability to plan and accomplish goals using extensive experience and judgment.
Ability to work with fast-paced procurement and business teams on new sourcing arrangements and updates to existing arrangements.

Responsibilities

Provide effective legal services to stakeholders and clients within the Indirect Sourcing team.
Review and negotiate a high volume of commercial vendor agreements, including MSAs, statements of work, license, equipment, and consulting agreements.
Handle customary and recurring legal projects, matters, and issues with minimal supervision in most instances.
Manage contracts and other matters, including project management and mixed legal and business responsibilities.
Represent Cencora and client groups in developing, negotiating, finalizing, and maintaining indirect supplier contracts.
Participate in legal and business negotiations as needed.
Make business-oriented recommendations that comply with legal requirements.
Manage multiple matters, multitask, prioritize work, and complete tasks efficiently and on time.
Supervise and project manage other individual legal professionals and outside lawyers when needed.
Build knowledge of Cencora’s businesses and industry policies and practices.
Seek and accept developmental opportunities and adapt effectively to change.
