About The Position

The Senior Counsel is a lawyer in Cencora’s Legal Department who provides business-oriented, effective and efficient legal services, project management, and strategic counsel on significant matters related to sourcing indirect goods and services. The role works with stakeholders in the Indirect Sourcing team and reviews and negotiates a high volume of commercial vendor agreements, including master services agreements, statements of work, license, equipment, and consulting agreements. The Senior Counsel handles recurring legal projects and matters with minimal supervision, manages contracts and related work that involve both legal and business responsibilities, and represents Cencora and relevant client groups in developing, negotiating, finalizing, and maintaining indirect supplier contracts. The role calls for legally compliant, business-oriented recommendations, sound judgment, effective prioritization across multiple matters, adaptability, and an interest in developmental opportunities. The lawyer may also supervise and project-manage other legal professionals and oversee outside counsel.

Requirements

4 to 8 years of experience as a lawyer, with expertise in contracts and commercial law.
Demonstrated ability to support the full contract lifecycle for sourcing agreements, including intake, issue-spotting, negotiation support, redlining, stakeholder alignment, and post-execution contract maintenance.
Law degree from an accredited law school and admission to a state bar.
Significant knowledge of indirect sourcing concepts, practices, contracts, and legal procedures.
Strong experience reviewing, drafting, and negotiating a wide range of commercial contracts.
Working knowledge of corporate law litigation, antitrust laws, privacy laws, and court and regulatory agency procedures, including FTC and FDA procedures.
Ability to work with fast-paced procurement and business teams on new sourcing arrangements and updates to existing arrangements.
Ability to communicate effectively orally and in writing.
Strong interpersonal, leadership, presentation, and organizational skills, with attention to detail.
Excellent judgment and ability to resolve complex issues effectively.
Ability to follow and interpret legal trends.
Extensive experience and judgment to plan and accomplish goals.

Responsibilities

Provide effective legal services to clients in collaboration with key stakeholders in the Indirect Sourcing team.
Review and negotiate a high volume of commercial vendor agreements, including MSAs, statements of work, license, equipment, and consulting agreements.
Handle customary and recurring legal projects, matters, and issues with minimal supervision in most instances.
Manage legal and business aspects of contracts and other matters pursued by client groups.
Represent Cencora and client groups in developing, negotiating, finalizing, and maintaining indirect supplier contracts, including participating in legal and business negotiations.
Make business-oriented and legally compliant recommendations to clients.
Analyze problems, assess possible solutions using standard procedures, and resolve issues effectively.
Manage multiple matters, prioritize tasks, and complete work in a timely and efficient manner.
Adapt to change and seek and accept developmental opportunities.
Supervise and project-manage other individual legal professionals when needed.
Supervise outside lawyers engaged to work on matters for Cencora.
