About The Position

This role is a broad corporate position within the Legal Department, providing support across a range of corporate legal matters, including tax-related structuring, securities, corporate governance, subsidiary management, treasury and finance. The role reports to the Associate General Counsel and works closely with senior members of the Legal team and cross-functional stakeholders, with opportunities to gain exposure to a variety of corporate legal disciplines and to take ownership of discrete workstreams, with guidance from senior members of the Legal team.

Requirements

Solid foundation in core corporate legal functions, including tax, corporate governance, securities and treasury, with the ability to support a broad range of corporate matters from day one.
Experience handling corporate structure, governance, securities, and entity management work, and providing legal support to finance-related functions.
At least 3 to 5 years of relevant legal experience, with prior law firm experience preferred.
Strong attention to detail, sound judgment, and the ability to manage multiple priorities effectively, with appropriate judgment on when to seek guidance.
Demonstrated ability to operate effectively in a team-oriented environment, with a pragmatic and collaborative approach.
Excellent communication skills, including the ability to explain complex legal concepts clearly to non-legal stakeholders.
Juris Doctor (JD) from an accredited law school and active bar membership in any U.S. state.

Nice To Haves

M&A experience is a plus but not if the candidate demonstrates strong capability across the other corporate areas described above.
Exposure to international or cross-border legal concepts is a strong plus.
Oil and gas industry experience is preferred but not required.

Responsibilities

Provide significant legal support on internal financings and corporate reorganizations, including advising on legal implications of step plans, identifying key transactions, obtaining internal approvals, and drafting and implementing legal documentation in collaboration with internal stakeholders and external counsel.
Assist with the design and implementation of operating structures for rig ownership, rig transfers, and intercompany transactions, including bareboat charters.
Support the establishment and termination of international joint ventures, addressing legal issues arising from their operation and drafting formation documentation and shareholders’ agreements.
Coordinate with and help oversee outside counsel across multiple jurisdictions and workstreams.
Support the preparation of SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reports, and other disclosure documents.
Collaborate with internal teams on disclosure controls and assist with corporate governance matters, as needed.
Provide significant legal support on corporate structure and subsidiary management.
Maintain corporate records and manage/assist in the creation of summary documentation to ensure up-to-date information is available to the relevant stakeholders.
Draft various finance & intercompany-related documentation, including term sheets, guarantees, indemnities, letters of credit, and letters of support.
Support the Treasury team on capital markets and debt-related matters, including negotiating and preparing indentures, notes, loan agreements, collateral agreements and other documentation.
Provide legal support to the Finance and Treasury teams on policies and practices, as needed.
Provide legal support on transactions, including drafting and reviewing NDAs, letters of intent, and transaction documentation, conducting due diligence and supporting pre- and post-closing activities.
Assist with special projects as assigned.
