About The Position

Fidelity is seeking a Senior Corporate Governance Analyst to join the Investment Proxy Research team within Fidelity Fund Investment Operations (FFIO). This role supports proxy voting and stewardship activities, involving the review of proxy materials, execution of votes according to Fidelity’s guidelines, and direct engagement with portfolio companies on governance, executive compensation, and ESG-related matters. The analyst will also contribute to governance policy development, thought leadership, and reporting to enhance transparency for stakeholders. The Investment Proxy Research team coordinates proxy voting programs for Fidelity’s affiliated advisors and business partners, encompassing research, analysis, portfolio company engagement, policy development, vote execution, operations, reporting, and disclosure of vote activity.

Requirements

  • Bachelor’s degree
  • Progressive years of financial services experience or 2-4 years of proxy, corporate governance, stewardship, or Environmental Social Governance (ESG) experience preferred
  • Intellectual curiosity and ability to take initiative to tackle problems, identify risks and raise issues appropriately
  • Strong analytical skills with ability to interpret governance data and draw insights
  • Demonstrated ability to manage multiple priorities in a deadline-driven environment
  • Effective verbal and written communication and presentation skills
  • Strong sense of ownership, accountability and focus on achieving objectives
  • Experience with or interest in shareholder and corporate governance issues

Responsibilities

  • Review and analyze proxy statements, shareholder proposals, and governance disclosures.
  • Ensure timely and accurate vote execution using proxy voting platforms and maintain compliance with regulatory requirements.
  • Engage with portfolio company boards and senior executives to discuss governance and compensation issues.
  • Produce reports and summaries of voting activity, stewardship outcomes, and governance trends.
  • Monitor and research trends in corporate governance, ESG, and emerging areas.
  • Track regulatory developments (SEC rules, global governance codes) to inform potential policy updates.
  • Collaborate with internal stakeholders (investment teams, legal, compliance) and external vendors.
