About The Position

Anova is seeking a Senior Corporate Counsel to join their dynamic and expanding organization. This role offers the opportunity to make a measurable and mission-critical impact within a leading company in Industrial IoT (IIoT) solutions. The Senior Corporate Counsel will play a vital role in helping drive safe, efficient, and reliable operations across industries worldwide. This position offers opportunities to be part of a culture-first and mission-driven executive team, grow Anova's legal function with full ownership, apply expertise across a complex legal landscape including global operations, industrial hardware, SaaS, M&A, and PE-backed governance, and work directly as part of executive leadership on business-shaping decisions. The goal is to help grow Anova's business with the best legal foundation for their global industrial technology business.

Requirements

  • 8+ years of legal experience, including meaningful prior in-house experience; law firm background in corporate, commercial, or technology transactions welcomed; track record of pragmatic leadership and solutions-driven approach.
  • J.D. from an accredited law school; active bar membership in good standing.
  • Solid working knowledge of corporate law, including M&A, commercial contracts, human resources support, intellectual property, and regulatory compliance frameworks.
  • Hands-on experience building or operating contract lifecycle management processes.
  • Working knowledge of legal management platforms and Microsoft Office Suite; ability to evaluate and implement legal technology solutions independently.
  • Strong written and verbal communication skills; ability to advise senior leadership, interface with external counsel, and represent the company with outside parties.
  • High degree of professionalism, integrity, and ability to handle sensitive and confidential matters with sound, independent judgment.
  • Demonstrated ability to operate autonomously.

Nice To Haves

  • Prior experience establishing a legal function at a company with global operations.
  • Background in a technology, IIoT, hardware/SaaS, or industrial sector business.
  • Experience with product liability and industrial safety regulations (OSHA, PHMSA, EPA, or international equivalents).
  • Knowledge of global data privacy regulations, including GDPR, CCPA, and the EU Data Act.
  • Familiarity with telecommunications and wireless regulatory matters relevant to connected hardware.
  • Experience conducting or coordinating corporate entity reviews and restructurings.
  • Knowledge of intercompany agreement structures and transfer pricing considerations.
  • Track record of building or maturing a corporate compliance program.
  • Confidence and experience presenting legal matters and risk assessments to senior leadership and translating complex legal matters to a non-legal audience.

Responsibilities

  • Design and implement systematic workflows for legal request intake, prioritization, and routing across the organization.
  • Build and maintain the legal operations infrastructure, including matter management tools, the legal mailbox, and internal escalation protocols.
  • Manage and coordinate outside counsel selection and relationships, including internationally.
  • Establish enterprise-wide governance frameworks and standards for contract lifecycle management, including platform selection, organizational change management, and appropriate signature and authorization tracking.
  • Conduct a comprehensive audit of Anova’s global customer and commercial contracting landscape and develop and execute a remediation plan to harmonize Anova’s contracts.
  • Develop appropriate records retention and governance protocols for contracts environment.
  • Review and optimize Anova’s global legal entity structure across all jurisdictions.
  • Draft, review, and maintain intercompany agreements — including IP licenses, service agreements, and cost-sharing arrangements — to support the entity structure and satisfy transfer pricing and regulatory requirements.
  • Lead the legal function for acquisitions, including due diligence, transaction structuring, and negotiation.
  • Advise on entity implications of proposed acquisitions in partnership with the CFO and EVP Strategy & Corporate Development.
  • Manage outside counsel across all phases of transaction execution and post-close integration.
  • Ensure compliance with applicable laws and regulations across all jurisdictions in which the company operates.
  • Support the development and ongoing maintenance of the company’s enterprise compliance program, including policies, training, and controls.
  • Lead the company’s data privacy strategy and governance, including oversight of GDPR, CCPA, and EU Data Act compliance.
  • Support corporate governance obligations across Anova's global structure.
  • Facilitate proactive and cost-effective IP portfolio management, including comprehensive IP tracking systems for renewals, lapses, deadlines, and enforcement actions.
  • Partner with trademark and patent counsel on IP-related filings, including patent applications, assignments, and licensing agreements.
  • Serve as the organization’s primary point of contact on all litigation, disputes, and legal proceedings.
  • Direct external litigation counsel and manage legal budgets associated with active matters.
  • Serve as primary liaison to insurance carriers.
