Senior Corporate Counsel

Saronic Technologies•Austin, TX

About The Position

Saronic Technologies is hiring a Senior Corporate Counsel to lead mergers and acquisitions and strategic transactions. The role serves as the legal point of contact for acquisitions, strategic investments, and joint ventures, partnering closely with Corporate Development from initial discussions through post-closing integration. The lawyer will own transactions end to end, including deal structure and strategy, diligence, negotiation of definitive agreements, and integration of acquired businesses. This is a builder role that combines closing transactions on compressed timelines with creating processes and resources to make future deals more efficient. The position is also a core member of the Corporate & Securities team, supporting the Associate General Counsel, Corporate & Securities with financings, equity, governance, securities compliance, and entity management. The role works closely with Corporate Development, Finance, Tax, People, and senior leadership, translating legal risk into clear business recommendations and options. The role includes prolonged desk and computer work, with occasional standing and walking in the office, reaching, bending, or stooping, and occasional lifting and carrying of items weighing up to 20 pounds.

Requirements

  • Juris Doctor degree from an accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • At least 8 years of corporate and transactional experience, including meaningful experience in the M&A practice of a top-tier law firm.
  • Track record of leading M&A deals end to end as the primary day-to-day lawyer, from LOI through closing and integration, rather than only supporting diligence.
  • Strong grounding in private company equity, venture financings, and corporate governance.
  • Sound commercial judgment and ability to identify which issues are worth negotiating and make clear decisions under time pressure with incomplete information.
  • Excellent drafting, negotiation, and communication skills.
  • Comfort advising executives and working across functions.

Responsibilities

  • Serve as the lead lawyer and legal point of contact for Corporate Development on acquisitions, strategic and minority investments, joint ventures, and acqui-hires.
  • Triage the deal pipeline with Corporate Development and provide early, practical advice on deal structure, legal risks, and potential deal-breakers.
  • Draft and negotiate NDAs, LOIs and term sheets, purchase and merger agreements, disclosure schedules, transition services agreements, and ancillary documents.
  • Advise on deal structure and economics, including stock versus asset transactions, earnouts, escrows and holdbacks, rollover equity, and retention and key-employee arrangements.
  • Lead end-to-end diligence by developing scoping memos, managing data rooms, coordinating subject-matter experts, and translating findings into deal protections and integration actions.
  • Lead acquisitions involving industrial and manufacturing assets, including shipyards, production facilities, and suppliers, coordinating real estate, environmental, permitting, and workforce issues.
  • Partner with Corporate Development, Finance, and People on integration, including Day 1 readiness, contract assignments and consents, entity cleanup, policy rollout, and 30/60/100-day legal integration plans.
  • Build Saronic’s M&A infrastructure, including template LOIs and purchase agreements, diligence request lists and playbooks, approval and signing matrices, deal checklists, and post-mortems.
  • Support equity and debt financings, including preferred stock rounds, convertible instruments, venture debt, and credit facilities.
  • Support board and committee operations, including materials, minutes, written consents, and approvals for transactions and equity issuances.
  • Help manage securities compliance for a late-stage private company, including Reg D and Rule 701 exemptions, secondary sales and tender offers, and insider-trading policy.
  • Support equity administration with Finance and People, including Carta, the 409A process, and grant approvals, and support subsidiary and entity management across jurisdictions.
  • Partner with Corporate Development, Finance, Tax, People, and senior leadership on high-stakes decisions, translating legal risk into clear business recommendations.
