About The Position

BMI is a mission-driven organization at the forefront of music rights and creator advocacy. Celebrating over 80 years of service to songwriters, composers, music publishers and businesses, BMI is a global leader in music rights management. Currently representing the public performance rights in over 25 million musical works created and owned by more than 1.4 million artists. BMI negotiates music license agreements and distributes the fees it generates as royalties to its affiliated writers and publishers when their songs are publicly performed. POSITION SUMMARY: Business-oriented Commercial Attorney to support the company's commercial transactions and strategic initiatives. This attorney will partner closely with cross-functional teams to draft and negotiate a broad range of commercial agreements while helping drive business objectives through practical, solution-oriented legal counsel. This attorney is practical, collaborative, and thrives in a fast-paced environment.

Requirements

  • J.D. from an accredited law school and admission to practice law in at least one U.S. jurisdiction (New York admission preferred or required, as applicable).
  • 5–10+ years of legal experience, including substantial experience in commercial contracting, corporate transactions, and general corporate matters.
  • Experience supporting mergers and acquisitions, investments, joint ventures, restructurings, and other strategic transactions, including due diligence, transaction documentation, and post-closing integration activities.
  • Experience advising on corporate governance matters, entity management, and domestic and international subsidiary oversight.
  • Excellent drafting, negotiation, and project management skills.
  • Ability to provide practical, business-focused legal advice on commercial, corporate, and strategic matters.
  • Ability to work independently while collaborating effectively across functions and jurisdictions.
  • Proficiency in MS Office

Nice To Haves

  • A combination of law firm and in-house experience at a technology, software, SaaS, digital media, or other growth-oriented company.
  • Experience supporting M&A, investments, divestitures, joint ventures and other strategic transactions.
  • Experience supporting international operations and cross-border transactions, with exposure to European legal, regulatory and business matters.
  • Familiarity with privacy laws and frameworks, including GDPR and other global privacy regulations.
  • Experience supporting corporate governance, international subsidiary management, and corporate secretarial matters across multiple jurisdictions.
  • Strong judgment and ability to assess legal and business risk in a fast-paced environment
  • Exceptional communication, stakeholder management, and relationship-building skills
  • Excellent oral and written communication skills
  • Ability to manage many projects at once and to prioritize them
  • Ability to negotiate authoritatively and persuasively
  • Ability to work cooperatively with other company executives in different areas

Responsibilities

  • Draft, review, negotiate, and advise on a broad range of commercial, corporate, technology, licensing, customer, vendor, and strategic partnership agreements.
  • Provide practical legal advice to business leaders on corporate, commercial, operational and strategic matters.
  • Support mergers, acquisitions, investments, divestitures, joint ventures, restructurings and other strategic corporate transactions, including due diligence, transaction documentation, integration, and post-closing activities.
  • Structure, negotiate, and support strategic alliances, licensing arrangements and other business development initiatives.
  • Manage corporate governance matters, entity management, and corporate record maintenance.
  • Develop and maintain contract templates, policies, playbooks and legal processes to improve consistency, and risk management.
  • Partner with other business teams on strategic initiatives and operational matters.
  • Collaborate effectively with outside counsel, management, and members of the Legal Department on corporate, commercial, and strategic matters.
  • Support company values and culture and perform other duties as assigned.
