As Senior Associate General Counsel, you will advise the Chief Administrative Officer & General Counsel (CAO & GC), senior management and other leaders on a variety of legal issues that arise from the day-to-day operations of a growing community bank and publicly traded bank holding company operating in a heavily regulated environment. You will be responsible for a variety of tasks including assisting the CAO & GC with SEC/NYSE compliance, corporate governance, and public company-related issues, maintaining corporate books and records, assisting with the preparation of documents for meetings for the Company’s board of Directors and committees, communicating complex issues in an understandable manner to non-legal professionals, and providing analysis and counsel on various corporate, banking and other legal issues affecting the organization. Additionally, the Senior Associate General Counsel is expected to negotiate, review and document contractual agreements with vendors and other third parties, coordinate with and manage outside legal firms retained by the Company, participate in special projects as assigned by CAO & GC including mergers and acquisitions, and other due diligence, and build a great rapport with clients, direct reports and fellow associates, and treat others with respect and consideration regardless of their status or position. All associates are expected to maintain current knowledge and consistent compliance with regulations and bank policies and procedures related to the position, including but not limited to Bank Secrecy Act (BSA) and Office of Foreign Assets Control (OFAC) requirements.
