About The Position

As a lawyer within the General Secretariat, Governance and Ethics department, you will act as an expert in corporate law, governance, and/or ethics in collaboration with existing lawyers in this field and participate in the implementation of Beneva's governance framework. You will support strategic thinking, decision-making, and actions to generate concrete impacts for Beneva. To guide your recommendations, you will conduct research and monitor information related to the business sector. Your responsibilities will involve working in a complex, cross-functional environment with diverse situations and internal and external stakeholders. You will stay abreast of new trends in corporate law, governance, and ethics and may participate in projects aimed at promoting mutualism. As legal counsel, you may be involved in the following functions: Provide managers and employees of Beneva with the support, training, and advice required in applying the company's Code of Ethics. Participate in drafting policies, directives, or other corporate documents for which the General Secretariat, Governance and Ethics department is responsible, or in revising (from a governance perspective) corporate documents produced by other executive vice-presidencies. Act as a watchdog, analyst, writer, and/or recommender in your area of expertise, including governance (board or operational), corporate law, ethics, and ESG factors (environmental, social, and governance). Participate in ensuring internal follow-ups resulting from regulator surveillance reports and prepare appropriate accountability reports for various bodies. Participate in documenting Beneva's internal governance (operational committees, accountability, etc.) in collaboration with the various Executive Vice-Presidencies. Ensure the consistency of institutional documents presented to the Board of Directors and/or the Management Committee, and ensure their dissemination and updating. Participate in the development and implementation of the organization's programs and/or projects involving your department. Act as secretary for Beneva's bodies, as needed.

Requirements

  • Possess an undergraduate university degree or equivalent in law.
  • Be a member of the Barreau du Québec.
  • Accumulate a minimum of three (3) years of experience in governance and/or ethics and/or corporate law.
  • Mastery of the French language, both spoken and written, as well as advanced mastery of the English language, both spoken and written, due to the nature of the tasks or interactions with English-speaking colleagues, partners, clients, or suppliers, or to meet the company's growth objectives.

Nice To Haves

  • Hold a certified corporate director certification or equivalent.
  • Hold a certification in ethics.
  • Knowledge of the insurance and financial services industry.
