About The Position

Executive Financial Services (“EFS”) at Morgan Stanley @ Work is the industry leader in providing services for products and transactions related to High Net Worth Clients, with a specific focus on senior executives of public companies. EFS assists these clients with liquidity needs by navigating the complexities of compliance and regulatory frameworks. As a subject matter expert, EFS plays an integral role in driving franchise results and maintaining industry leadership in quality and service. Within the Restricted Securities Specialist Team, you will be responsible for performing due diligence and approving transactions involving restricted and control securities. This role requires close collaboration with Financial Advisors, their clients, Issuer’s counsels, Legal, Compliance, Risk, Structured Products, Private Bank, Stock Plan services, and Senior MS Management. You will also educate Financial Advisors and Branch Management on the EFS service model, including guidance on rules for transacting in restricted securities and managing affiliate transactions.

Requirements

  • High-level understanding of the regulations and exemptions of Rule 144, equity securities, and different types of acquisitions.
  • Experience working in a Wealth Management Branch assisting Financial Advisors with servicing product operational needs of clients.
  • Understanding of the general functions and processes of divisions such as operations, lending, stock plan administration, and trading.
  • General understanding of different product types offered to clients who are affiliates of public companies and their associated requirements.
  • Proficiency in the Microsoft workplace suite of products.
  • Detail-oriented with superior organization skills.
  • Positive, proactive, and professional approach to all role responsibilities.
  • Excellent written and verbal communication skills with the ability to anticipate and articulate follow-up questions and answers.
  • A learning mindset and excitement for tackling challenging and nuanced situations.
  • Self-starter with the ability to take ownership of transactions/projects from beginning to end.
  • Strong analytical and deductive skills.
  • Ability to operate in a time-sensitive, fast-paced environment while balancing priorities.

Responsibilities

  • Respond to general inquiries from the WM Field related to restricted securities, gathering relevant information to provide appropriate solutions.
  • Review submitted client transaction requests and supporting documents for accuracy, focusing on details related to exemptions under Rule 144, pledging/collateral use for lending products, and special situations involving resale of securities under certain Registration Statements (e.g., DPO, SPAC, PIPES, Reg-S Offerings).
  • Perform due diligence with Company legal teams on proposed client transactions and liaise with Financial Advisors/Branches if additional information is needed to approve transactions.
  • Manage transactions from initiation to completion, including filing public documents to support client filing obligations under Rule 144.
  • Organize, update, and maintain electronic records of transactions in the proprietary books and records system.
  • Collaborate with team members and EFS partners (Legal, Risk, Compliance, Technology, Operations, Project Managers, etc.) to improve functions and processes, ensuring a seamless client experience.
  • Take ownership of assigned projects, delivering objectives and key results for the restricted securities team, EFS, and Morgan Stanley @Work.
