About The Position

A premier global law firm is seeking a Real Estate Tax Associate Attorney to join its Houston office. This opportunity is ideal for an attorney interested in advising real estate investors, developers, REITs, private equity funds, institutional investors, lenders, and operating companies on sophisticated real estate tax matters.

Requirements

  • 3–6 years of transactional tax or real estate tax experience gained at a sophisticated law firm
  • Experience advising clients on the tax aspects of commercial real estate acquisitions, dispositions, financings, developments, joint ventures, and restructurings
  • Experience representing developers, REITs, private equity real estate funds, institutional investors, lenders, and closely held businesses
  • Experience with partnership taxation, LLC taxation, REIT taxation, like-kind exchanges (Section 1031), opportunity zones, and tax-efficient transaction structuring
  • Experience structuring joint ventures, real estate investment vehicles, and fund investments
  • Experience drafting and negotiating tax provisions in purchase agreements, joint venture agreements, financing documents, and other transaction documents
  • Strong analytical, drafting, research, and communication skills
  • Ability to independently manage sophisticated tax matters while collaborating with real estate, finance, and corporate transaction teams
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Texas bar admission required or ability to become admitted

Nice To Haves

  • Experience with renewable energy tax credits, historic tax credits, low-income housing tax credits (LIHTC), or other real estate tax incentive programs
  • LL.M. in Taxation is a plus, but not required

  • Representing developers, REITs, private equity real estate funds, institutional investors, lenders, and closely held businesses.
  • Structuring joint ventures, real estate investment vehicles, and fund investments.
  • Drafting and negotiating tax provisions in purchase agreements, joint venture agreements, financing documents, and other transaction documents.
  • Managing sophisticated tax matters while collaborating with real estate, finance, and corporate transaction teams.
