About The Position

The attorney will be a member of Brookfield’s real estate group and serve as legal lead for certain of Brookfield’s real estate funds. No prior experience is required in real estate funds or funds legal operations, but the candidate must have a background in private equity fund formation.

Requirements

J.D. with at least 6 years of experience as a lawyer in a major law firm or in-house
Private fund experience and knowledge of the U.S. Investment Advisers Act of 1940 and U.S. securities laws required
Exceptional attention to detail
Excellent interpersonal, written and verbal skills
Strong organizational and time management skills

Responsibilities

Serve as lead in-house counsel embedded in Brookfield’s real estate business group for a variety of real estate funds, including real estate equity, credit and secondary closed-end and open-end funds
Oversee real estate fund legal operations throughout the lifecycle of the real estate funds in coordination with various business stakeholders
Lead fundraising for co-invests, club funds and certain bespoke new products
Fund operations duties include: Leading investment structuring with finance operations and tax
Overseeing corporate governance matters for all fund entities
Coordinating with external counsel and business on the negotiation of credit facilities and ISDAs
Reviewing investment committee memorandums
Preparing and reviewing conflicts committee and LPAC materials
Ensuring business operations are in compliance with fund agreements and regulations
Drafting and negotiating ancillary fund operational legal documents, including confidentiality agreements and service provider contracts
Oversee outside counsel and service providers
