About The Position

Dinsmore is seeking a Public Finance Analyst/Paralegal to support attorneys and other professionals in financings where Dinsmore primarily serves as underwriter’s counsel, special tax-exempt debt counsel to banks or special borrower’s counsel in tax exempt multifamily rental housing bond transactions. The preferred location is Denver, Colorado, but Washington, D.C. or other Dinsmore locations may be considered. This role provides assistance to our underwriter, bank or borrower clients in developing state-of-the-art financing structures for transactions; assistance to bond counsel in the preparation of bond documents reflecting the financial structure proposed by our underwriter, bank or borrower client; review of and commenting on the underlying bond documents and the preparation of underwriting documents (the official statement or offering memorandum, bond purchase agreement, continuing disclosure agreement, remarketing agreement, if applicable, and similar documents) on behalf of our clients. The role also aids clients in coordinating the steps required for processing, pricing and closing the debt in transactions, assistance in certain financial analyses and coordination with other financing participants on the transactions.

Requirements

  • Bachelor's degree in finance, accounting, economics, public administration, business, real estate or a related field
  • One to four years of relevant law firm or other experience in public finance, municipal advisory, investment banking, government finance, or commercial real estate finance
  • Strong analytical, quantitative skills
  • Advanced proficiency in Microsoft Excel, Word and PowerPoint
  • Excellent written and verbal communication skills
  • Strong attention to detail
  • Strong organizational skills and ability to perform as a proactive, collegial member of a financing team
  • Experience with financial modelling, data analysis, project management and deadline coordination
  • Ability to professionally communicate with public officials, rating agencies, and clients and other finance team members
  • Ability to manage confidential information, problem-solve and think critically
  • Ability to work in a fast-paced transactional environment, perform under pressure in connection with pricings and closings, including working overtime to meet deadlines when required

Responsibilities

  • Assist our attorneys in the above-described functions in these and other tax-exempt bond financings
  • Review and analyze bond and other financing documents, cash flow analysis and financial statements, continuing disclosure filings and debt service schedules
  • Assist our clients in the preparation of financing term sheets and deal summaries for kickoff conference calls, financing participant lists and timetables, due diligence materials and deal tracking reports
  • Conduct legal, financial and other research and document preparation and, if applicable, filings, related to securities regulations SEC and MSRB requirements and tax-exempt debt financing rules, rating agency requirements (if applicable) and state and local government finance statutes, including state “blue sky” securities laws
  • Assisting in the preparation and review of articles, memos, PowerPoints and other conference presentations discussing various legal and financial aspects of the above-described financings
  • Assist in drafting and proofreading underwriting and other financing documents in these transactions and managing deadlines for multiple concurrent transactions
  • Analyze market trends and public finance data to support client financings
