About The Position
Ropes & Gray, a leading global law firm, is seeking a highly skilled and self-driven Private Equity Associate to join our dynamic team. As a Private Equity Associate, you can expect to play a crucial role in providing legal counsel and support to our clients engaged in private equity transactions. We are seeking a mid-level associate (3 -6 years) with a large degree of proven experience representing private equity sponsors in connection with acquisitions, dispositions, and financings. This position will be in our Boston office.
Requirements
- Juris Doctor degree from an accredited law school
- Admission in good standing to practice law in the state of Massachusetts
- Three to six years of legal experience working on private equity transactions, preferably at a large law firm
- Experience representing private equity and strategic investors
- Extensive understanding of corporate governance and securities compliance in private equity deals
- Practical experience with and familiarity with legal AI tools and platforms to efficiently handle corporate transactions
- Well-versed in legal writing, negotiating terms and performing detailed analyses
- Able to self-manage priorities and work effectively in a fast-paced, deadline-driven environment
Responsibilities
- Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and financing documents
- Conduct thorough due diligence and research on potential investment opportunities
- Advise clients on regulatory compliance issues related to private equity transactions
- Assist in structuring and forming private equity funds
- Provide ongoing guidance on client’s corporate transactions, corporate governance matters, and securities regulations
- Collaborate with cross-functional teams to ensure the seamless execution of transactions
- Lead various parts of transactions independently and manage deal processes
- Supervise and support the professional development of junior colleagues
- Monitor industry trends, legal developments, and best practices in private equity law
