About The Position

The Paralegal role supports the legal function (Chief Legal Officer and Regional General Counsel) and other internal stakeholders with day to day legal operations support, document review, and project coordination. It serves as a key point of contact for the legal team, managing inquiries, maintaining legal records, and ensuring regulatory and corporate compliance. The position drafts and updates legal documents, supports risk mitigation strategies, and assists in transactional work, including due diligence and document management.

Requirements

  • 5+- years’ experience in a law firm or corporate legal department.
  • Bachelor’s Degree; Paralegal certificate or diploma
  • Proficiency in MS Office and related applications (Word, Excel, PowerPoint, SharePoint, Teams, Forms).
  • Ability to develop successful relationships with a wide variety of individuals.
  • Strong communication skills.
  • Excellent planning and organizational skills and ability to work efficiently and effectively without direct supervision.
  • Identifies and resolves problems in a timely manner and gathers and analyzes information skillfully.
  • Rely on experience and judgment to plan and accomplish goals.

Nice To Haves

  • Familiarity and experience with Diligent Entities and ContractWorks (or similar contract management tool) preferred.

Responsibilities

  • Reviews various documents, identifying key risks and responsibilities and providing recommendations to legal counsel
  • Serves as first point of contact for legal team, corporate departments, and business units for general legal inquiries (in particular, corporate entity information), addressing and directing inquiries as appropriate
  • Drafts various legal documents, and works with the legal team to develop and update legal templates and precedents
  • Supports the development and implementation of strategies to address key risks
  • Primary administrator for contract management tool (ContractWorks), working with business units, departments, and IT team in providing and managing access and providing basic support
  • Prepare and file annual reports and other required Secretary of State filings to ensure all corporate entities remain compliant with applicable regulatory and reporting requirements.
  • Maintain and update legal entity records and documentation within the department’s SharePoint site (and Diligent), ensuring accuracy, organization, and secure access.
  • Administer litigation hold procedures, including issuing, tracking, and monitoring compliance with active litigation hold notices.
  • Manage regulatory documentation, including maintaining FCC license records and overseeing the organization’s SAM (System for Award Management) registration and renewals.
  • Provide administrative and operational support to the Legal department, including processing vendor invoices, managing purchase orders, and troubleshooting related issues as needed.
  • Manage due diligence workflows, including organizing and maintaining VDRs, conducting lien searches, and coordinating with internal stakeholders to secure required documents, analysis, and approvals.
  • Support transaction execution by preparing signature packets, reviewing and assembling disclosure schedules and exhibits, verifying defined terms, and ensuring rigorous version control across all deal documents.
  • Oversee legal knowledge management, including maintaining templates and precedents (APAs, SPAs, diligence lists, closing checklists), tracking and obtaining necessary consents, and coordinating required regulatory filings and certificates.
  • Reviews various documents for risk, including third party contracts, terms and conditions, and procurement documents.
  • Prepares lists of exceptions/mark-ups, makes reservations, and aids in meeting preparation etc. to support the development and implementation of strategies to address key risks.
  • Manages inquiries and requests of legal team, responding to queries regarding day-to-day operations, ongoing projects, and related issues, and obtaining necessary information and triaging issues to legal counsel as appropriate.
  • Drafts various legal documents, including corporate resolutions, and works with the legal team to develop and update legal templates and precedents.
  • Assists legal counsel in education and training sessions for their client groups, preparing and presenting materials.
