About The Position

An experienced Corporate Paralegal is sought for an immediate contract-to-hire engagement supporting a premier global business law firm. The role supports transactional matters, private-company equity administration, and corporate governance, working closely with corporate attorneys across multiple offices. The position is based in California, with primary office hubs in San Diego, Palo Alto, or Los Angeles. It follows a flexible hybrid schedule with designated weekly in-office days and remote-work flexibility. Candidates must live within commuting distance of their designated office; relocation assistance and travel outside regional hub activities are not anticipated. This is a full-time, non-exempt hourly position with standard business hours and eligibility for overtime as transaction volume requires. The paralegal will manage capitalization tables and equity records, perform private-company transfer agent functions, prepare and file corporate documents, assist with transactions and regulatory filings, and manage closing and corporate records. The work takes place in a collaborative, fast-paced legal practice and involves extended computer-based tasks, coordination across multiple offices, and virtual video conferences.

Requirements

  • Hands-on paralegal experience managing corporate governance and transactions within a law firm, financial services firm, or high-growth corporate legal department.
  • Recent, immediate operational proficiency with both Carta and Pulley cap table platforms; stated as strictly required.
  • Familiarity with SEC filings, including hands-on experience using SEC EDGAR Next.
  • Track record of career stability, with steady in-house or law-firm tenures rather than consecutive short-term contract assignments.
  • Advanced proficiency with Microsoft Office, including Word, Excel, and Outlook, and standard corporate legal technologies such as Relativity, LexisNexis, or Westlaw.
  • Strong organizational ability and written and verbal communication skills, with the capacity to manage competing closing deadlines across multiple office locations.
  • Bachelor’s degree and/or an ABA-approved Paralegal Certificate preferred; candidates with a bachelor’s degree or certificate must have at least 1 year of substantive corporate paralegal experience.
  • Candidates with a high school diploma or GED must have at least 5 years of specialized corporate legal support experience.
  • Locally based within commuting distance of the designated California home office.

Nice To Haves

  • 10 or more years of corporate paralegal experience; candidates with somewhat less experience may be considered if they have exceptional direct cap table expertise.
  • Background in equity administration within venture-backed technology companies or financial institutions.

Responsibilities

  • Maintain, audit, and update capitalization tables, stock ledgers, and option records using equity platforms.
  • Process stock issuances, stock transfers, option grants, and equity incentive plan records as part of private-company transfer agent functions.
  • Organize, draft, and file corporate formation and operational documents, including articles of incorporation or organization, amendments, state qualifications, foreign registrations, consents, and annual reports.
  • Prepare transaction deliverables, closing checklists, short-form deliverables, UCC financing statements, and electronic closing sets.
  • Assemble closing volumes and transaction bibles, including document assembly, indexing, and final client distribution.
  • Assist attorneys with mergers, acquisitions, venture financings, entity dissolutions, and transactional due diligence.
  • Manage virtual data rooms, corporate matter files, and hard-copy and electronic minute books.
  • Conduct Blue Sky state securities research and prepare compliance filings.
  • Draft and file regulatory documents with federal and state agencies, including SEC EDGAR Next submissions, Section 16 forms, and Form S-8 registration statements.
