About The Position

We are seeking an experienced Paralegal to support a busy corporate, business, and finance legal practice. This role focuses on business transactions, corporate governance, entity management, and financial/legal documentation. The ideal candidate has a strong background in corporate law, business law, or transactional legal work and enjoys working directly with clients in a fast-paced environment.

Requirements

5+ years of paralegal experience, with a focus on corporate, business, finance, or transactional law
Strong knowledge of entity formation, corporate governance, and business transactions
Experience supporting contracts, corporate filings, and financial/legal documentation
Proficiency in Microsoft Office (Word, Excel, Outlook)
Experience with DocuSign, Adobe, and document management systems
Excellent organizational, communication, and multitasking skills
Ability to manage multiple corporate and transactional matters in a deadline-driven environment

Responsibilities

Prepare and file business entity formations (LLCs, corporations, partnerships) and related corporate filings
Draft and revise operating agreements, corporate resolutions, shareholder agreements, and governance documents
Support business transactions, including organizing, reviewing, and maintaining transactional and financial documentation
Assist with contract preparation, review, and execution, including use of e-signature platforms
Conduct legal and regulatory research related to corporate, business, and finance matters
Maintain corporate records, minute books, and compliance documentation
Manage calendars, deadlines, and filings to ensure timely completion of corporate and transactional work
Coordinate with clients, attorneys, financial professionals, and third-party vendors
Organize and maintain document management systems for corporate and transactional files
