About The Position

Lithium Americas is seeking an experienced and detail-oriented Paralegal to join its legal and regulatory team. This role will support the Legal Department in corporate and securities law, regulatory filings, compliance, and contract management within a publicly traded company. A strong background in securities compliance, corporate governance, and commercial contract support is preferred. This position offers an opportunity to contribute to a mission-driven organization focused on innovation, sustainability, and leadership in the clean energy sector. The role is based in Reno, NV or Vancouver, BC and reports to the Corporate Counsel & Corporate Secretary. Occasional travel to other LAC offices, project sites, or vendor locations may be required.

Requirements

  • Associate’s or Bachelor’s degree and/or Paralegal Certificate from an ABA-accredited program, preferred.
  • Minimum 3–5 years of corporate paralegal experience, preferably in a publicly traded or highly regulated company, preferably with corporate and securities experience.
  • Experience with EDGAR filings and knowledge of securities laws.
  • Proficiency in Microsoft Office and legal software tools (e.g., Diligent, BoardWorks, iManage, DocuSign, Workiva, hQue, DFin ActiveDisclosure and Venue, etc.).
  • Strong attention to detail, organizational, and time management skills.
  • Comfortable working independently in a fast-paced, high-compliance environment.
  • Ability to manage multiple priorities while maintaining strict confidentiality.
  • Strong analytical and problem-solving skills.
  • Excellent verbal and written communication skills.
  • Ability to maintain confidentiality, and to exercise discretion and good judgment.

Nice To Haves

  • Experience with Canadian SEDAR+, SEDI and corporate law filings and knowledge of Canadian corporate and securities filings is considered an asset.
  • Experience working in a chemical extraction, natural resources or energy-related company is a strong plus.
  • Experience working with Copilot and AI powered legal software considered an asset.

Responsibilities

  • Support the preparation and filing of periodic reports with the SEC (10-K, 10-Q, 8-K, Form 4, Section 16 filings on EDGAR Next, etc.).
  • Assist with corporate recordkeeping matters, including board and committee meetings, resolutions, minutes, and maintaining corporate minute books.
  • Maintain entity management and good standing status for U.S. and international subsidiaries.
  • Support commercial contract review processes, including NDAs, supply agreements, licensing agreements, and service contracts.
  • Conduct legal and regulatory research related to corporate and securities law (SEC) reporting.
  • Coordinate with outside counsel, regulatory bodies, and internal business units.
  • Monitor changes in relevant laws and regulations, including those affecting the chemical manufacturing and extraction industry.
  • Assist with compliance programs including insider trading, ethics, and whistleblower policies and procedures.
  • Support M&A and other corporate transactions, including due diligence and document management.
  • Support corporate land-management priorities relating to leases, mineral claims and private property.
  • Assist in the engagement and invoicing of consultants and advisors, including related budgeting matters.
  • Builds and maintains trusted relationships across all teams while championing a culture that reflects and supports our Purpose, Vision, and Values.
