About The Position

The Paralegal will interact with corporate teams and clients to facilitate all aspects of closings. This role involves drafting and coordinating filings at state/county levels, maintaining minute books, drafting transactional board consents and officer certificates, conducting due diligence, and preparing various legal documents such as schedules to credit agreements, security agreements, stock purchases, and information certificates. The Paralegal will also prepare stock certificates, maintain ledgers, draft, review, monitor, and coordinate SEC filings, manage closing deliveries, prepare and update closing agendas, conduct UCC/lien searches, prepare master logs, prepare option grants and management stock agreements, prepare closing binders, and collect signature pages when necessary. Additionally, the Paralegal will assist attorneys with speeches and articles and attend CLE and courses to expand knowledge of substantive law. This position reports directly to the Office Administrator or Human Resources representative, and indirectly to assigned attorneys.

Requirements

  • Familiar with effective administrative processes.
  • Ability to manage a multitude of tasks and deals simultaneously.
  • Ability to work independently with minimal supervision.
  • Administrative experience related to the legal services environment.
  • Above-average writing skills.
  • Ability to conduct legal research.
  • Ability to translate difficult concepts into simple terms.
  • Great computer skills.
  • Paralegal certification from an ABA approved school or bachelor’s degree in a field related to law, administration, or liberal arts required.

Responsibilities

  • Maintain Minute books.
  • Draft transactional board consents and officer certificates.
  • Conduct due diligence.
  • Prepare Schedules to Credit Agreements, Security Agreements, Stock Purchases and Information Certificates.
  • Prepare stock certificates and maintain ledgers.
  • Draft, review, monitor and coordinate SEC filings.
  • Manage closings deliveries.
  • Prepare and update closing agendas.
