The Paralegal, Subsidiary Governance supports the Corporate Governance function with primary responsibility for entity management across Shift4’s global corporate structure. This role ensures that all domestic and international subsidiaries remain in good standing through accurate recordkeeping, timely regulatory filings, and effective coordination of corporate actions. The paralegal partners closely with internal stakeholders and external service providers to maintain statutory compliance and support financing, acquisitions, and other strategic initiatives.

Requirements

  • Education: Bachelor’s degree and/or ABA-approved paralegal certificate, or equivalent transferable experience.
  • Experience: Minimum of 2 years in corporate governance, entity management, or related paralegal role.
  • Technical Skills: Experience with entity management databases preferred; proficiency with Microsoft Office and Google Workspace required.

Responsibilities

  • Entity Lifecycle Management
  • Support the full lifecycle of legal entities, including formation of new subsidiaries, dissolutions, mergers, and restructurings.
  • Maintain accurate corporate records reflecting ownership, directors, officers, and registered agent information.
  • Database & Records Administration
  • Serve as administrator for entity management software, ensuring real-time accuracy of governance data and documentation.
  • Maintain statutory registers, minute books, and related corporate records in accordance with legal requirements.
  • Regulatory Compliance & Filings
  • Prepare and submit annual reports, certificates of authority, jurisdictional withdrawals, and other required filings.
  • Track filing deadlines across multiple jurisdictions to ensure subsidiaries remain in good standing.
  • Corporate Secretarial Support
  • Draft and manage corporate governance documents including written consents, board resolutions, meeting minutes, and officer certificates.
  • Support due diligence requests related to financing, acquisitions, and audits.
  • Global Subsidiary Governance
  • Coordinate with international service providers and outside counsel to meet local statutory obligations.
  • Manage document legalizations, apostilles, and cross-border corporate formalities.
  • Cross-Functional Partnership
  • Act as liaison to Tax, Treasury, and Finance teams to provide entity data, organizational charts, and KYC documentation.
  • Support bank account openings, audits, and internal reporting requirements.
