Requirements

  • Paralegal experience
  • Experience with commercial agreements (MSAs, SOWs, NDAs)
  • Familiarity with contract negotiation, including liability limits, payment terms, and indemnification.
  • Experience with Contract Lifecycle Management (CLM) systems.
  • Ability to evaluate legal, financial, and operational risks in contracts.
  • Knowledge of vendor compliance and insurance requirements.

Responsibilities

  • Draft and review standard and non-standard commercial agreements, including Master Service Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), and amendments.
  • Assist attorneys or manage the initial redlining of supplier contracts, negotiating liability limits, payment terms, and indemnification with vendors.
  • Oversee the full contract workflow from initiation through execution, renewal, and termination.
  • Maintain and update Contract Lifecycle Management (CLM) systems and repositories to ensure documents are secure, trackable, and easily accessible.
  • Evaluate contracts for legal, financial, and operational risks.
  • Verify that vendors meet compliance and insurance requirements before onboarding.
