About The Position

Guggenheim Investments is seeking a smart, energetic, and affable person to join its Legal team. Reporting to the Head of GI Legal Operations, this person will join a highly collaborative team and will be responsible for supporting various attorneys and functions in the Guggenheim Investments legal group. In addition to meticulous organizational skills and a high attention to detail, the ideal candidate will demonstrate an ability to proactively manage and track various projects both independently and as part of a team, take ownership and responsibility over assignments, assume leadership roles where appropriate, and work on a variety of time-sensitive projects. The successful candidate must be proactive, exercise excellent judgment, have exceptional communication skills and a demonstrated ability to effectively manage stakeholders across the firm and exhibit professionalism. The candidate must be comfortable interacting with senior-level attorneys and be highly responsive and efficient. An ideal candidate will have experience drafting governance documents and/or forming legal entities as a paralegal or similar in the financial services industry, however, in lieu of specific experience, bright, resourceful, quick learners will be considered. The Paralegal role presents an opportunity to grow in a dynamic organization and department. The Paralegal role is in New York, currently 4 days in office and the remaining day remote.

Requirements

  • Bachelor’s degree
  • Paralegal certificate preferred
  • 2-4 years of experience as a paralegal in an investment firm or related field
  • Must have experience preparing legal documents that are finance related
  • Must be knowledgeable of vendor contracts, maintaining meeting minutes, and drafting spreadsheets
  • Must be fluent in MS Office
  • Paralegal certificate
  • 5+ years of paralegal experience in transactional work, with half or more of that experience with private funds, investment management, public pensions, or related areas
  • Experience with private fund subscriptions, investor-side fund closings, or fund formation/fund operations strongly preferred
  • Strong familiarity with AML/KYC processes, subscription documentation, closing mechanics, and document management
  • Excellent organizational skills, attention to detail, and ability to manage multiple time-sensitive matters simultaneously
  • Strong written and verbal communication skills and the ability to work effectively with attorneys, clients, and external counterparties
  • Advanced proficiency with Microsoft Word, Excel, PDF tools, and electronic signature/document management platforms
  • Exceptional grammar, spelling and proofreading skills are a must
  • Proven ability to meet strict deadlines under significant time constraints
  • Must be able to work a flexible schedule with some overtime required
  • Candidates must be authorized to work in the US without current or future visa sponsorship or transfer.

Responsibilities

  • Assist in the preparation, execution and maintenance of legal documents and materials related to GI and Fund entities
  • Assist with compiling documents and signature pages for closings, as needed
  • Manage and maintain electronic corporate minute books
  • Manage Entity Formation and Dissolution process – from request through to filing executed organizational documents in system
  • Update and keep current entity, organizational and directors, officers and authorized signatory data for reporting
  • Manage intake of vendor contract review requests from the GILS centralized inbox, conducting first-level review to confirm commercial terms align with the Contract Summary Form, verify completeness of required documentation, and determine whether escalation to an attorney is warranted
  • Draft organizational spreadsheets for submission to regulators
  • Organize and maintain files relating to transactional, regulatory and other legal matters
  • Order lien searches from vendor and review lien search results and prepare lien summary
  • Prepare extensive PowerPoint presentations, Excel worksheets and Visio diagrams (e.g. entity organizational charts) as needed
  • First line processing of legal invoices (All); trouble-shoot legal e-billing and matter creation questions (Senior only)
  • Arranging domestic and international travel; managing expense reports
  • Respond to information queries from internal and external sources (e.g. document look-up, entity ownership or director, officer, signatory queries)
  • Track and maintain possessory collateral for client investments, including logging intake and outtake, and annual reconciliation
  • Litigation tracking
  • Facilitate GI Legal workflows through traffic control and moderation
  • Track projects and workflows through project management system
  • Maintain GPIM Clients and related OpenText document repositories
  • Perform ad hoc job-related duties and participate in and sometimes take the lead on special and recurring projects as assigned, including overhaul of file and data storage systems

Benefits

  • Annual base salary between $72,000.00-$80,000.00
