About The Position

Help manage & implement complex cross-border transactions, including global carve-outs, spin-offs, post-acquisition integrations, global business expansions, legal entity rationalizations & similar transactions; draft & negotiate main transaction documents, including stock purchase agreements, asset purchase agreements & other necessary transaction related documents involving multinational clients operating in all sectors. Manage global cross-practice teams for successful closings of all aspects of the deal; spot & resolve legal issues; synthesize high volume comments from client, local counsel & other stakeholders.

Requirements

  • Juris Doctor (JD) (or foreign law degree/Master of Laws (LLM))
  • 5 years of experience working as an attorney with a global law firm
  • 5 years advising, coordinating & executing complex cross-border transactions
  • 5 years managing cross-border deals as lead associate
  • 5 years leveraging technology & project management tools
  • 5 years collaborating with tax advisors & other stakeholders
  • 5 years drafting complex deal documents & ancillary agreements
  • Admitted to the New York bar
