About The Position

As Managing Counsel, you will provide strategic legal support to corporate functions at Fiserv, with a primary focus on mergers and acquisitions, divestitures, minority investments, warrants, joint ventures, and other strategic equity arrangements. You will work closely with business leaders, internal stakeholders, and external advisors to help structure transactions, manage legal risk, and support business objectives through practical, business-aligned counsel.

Requirements

  • 5+ years of experience practicing corporate law, including mergers and acquisitions and other complex corporate transactions
  • Experience advising on public company matters
  • Juris Doctor degree from a law school approved by the American Bar Association, or equivalent combination of education, related experience and/or military experience
  • Active license to practice law in at least one US jurisdiction, or ability to become licensed in the appropriate jurisdiction, or equivalent combination of education, related experience and/or military experience
  • Must currently possess valid and unrestricted U.S. work authorization to be considered for this role. Individuals with temporary visas including, but not limited to, F-1 (OPT, CPT, STEM), H-1B, H-2, or TN, or any candidate requiring sponsorship, now or in the future, will not be considered for this role.

Nice To Haves

  • Experience with minority investments, venture or strategic equity investments, and equity-linked instruments (e.g., warrants, convertible securities) preferred
  • Demonstrated ability to manage multiple transactions in a fast-paced environment

Responsibilities

  • Provide legal support for mergers and acquisitions, divestitures, strategic investments, partnerships, joint ventures, minority investments, warrants, and other equity and related business development transactions.
  • Structure, draft, review, and negotiate transaction documentation
  • Support due diligence processes, including identifying legal risks and coordinating with internal stakeholders and external advisors.
  • Anticipate, identify, and manage legal, regulatory, and operational risks.
  • Research and respond to legal and business questions arising from corporate and transactional activities.
