About The Position

The Manager – Corporate Transactions & Subsidiary Governance will support Walmart’s Corporate Transactions & Subsidiary Governance team within the Office of the Corporate Secretary. This role will support strategic transactions, improve knowledge and records management, build repeatable processes, and maintain clear systems for subsidiary governance and legal entity records. This is a high-ownership role for someone who is organized, detail-oriented, ambitious, and able to drive projects independently. The ideal candidate has strong judgment, excellent follow-through, and the ability to work effectively across Legal, Corporate Development, Finance, Tax, Treasury, and Walmart's global businesses. The Corporate Transactions & Subsidiary Governance team advises on strategic corporate matters across Walmart’s global business, including M&A, investments, joint ventures, restructurings, entity management, subsidiary governance, and related corporate legal work. We are a small, high-impact team that works across Legal, Corporate Development, Finance, Tax, Treasury, and Walmart's global businesses. Our work requires practical judgment, strong execution, clear process, and the ability to manage complex projects with enterprise impact.

Requirements

  • Excellent organization, attention to detail, and ability to manage multiple workstreams, deadlines, stakeholders, and documents.
  • High ownership, initiative, follow-through, and a self-starter mindset.
  • Sound judgment, discretion, and the ability to move work forward while knowing when to escalate.
  • Strong written and verbal communication skills with lawyers, business partners, outside counsel, and senior stakeholders.
  • A process-improvement mindset and interest in building scalable systems.
  • Comfort working with legal documents, governance records, transaction materials, confidential information, technology tools, spreadsheets, trackers, and document-management systems.
  • Bachelor's degree in Legal Studies, Business Administration, or related field and 1 year’s experience in legal, claims investigation, or relevant area OR 3 years’ experience in legal, claims investigation, or related area.

Responsibilities

  • Support corporate transactions and strategic projects, including M&A, joint ventures, investments, warrants, IPO-related work, restructurings, and entity rationalizations.
  • Manage diligence requests, disclosure schedules, closing checklists, signatures, deliverables, post-closing obligations, and closing binders.
  • Support legal entity governance, including board and shareholder actions, officer and director appointments, filings, records, and related documentation.
  • Maintain subsidiary ownership, governance, approval, consent, resolution, and corporate records.
  • Build SOPs, playbooks, trackers, summaries, document repositories, and knowledge-management tools.
  • Monitor relevant legal and market developments and help identify opportunities to improve workflows and processes.
