About The Position

Provide comprehensive legal support and advice to all functional areas of the organization, ensuring compliance with applicable laws and regulations. Collaborate with internal stakeholders, including operations, finance, tax, treasury, and corporate development teams, to address legal issues related to business activities and transactions. Assist with corporate governance matters by supporting the corporate secretarial function, preparing notices, minutes, board materials, and related documentation. Negotiate, draft, review, and interpret a wide range of transactional agreements and legal documents, including disclosure documents, non-disclosure agreements, credit agreements, offering documents, collateral trust agreements, and collateralized reinsurance agreements. Support the Head of Legal for Corporate and Strategic Transactions and the global transactions team on complex, high-value, and time-sensitive transactional matters. Manage and instruct outside counsel to ensure effective representation and alignment with organizational objectives. Provide guidance on legal risks and develop strategies to mitigate potential liabilities in corporate transactions and governance matters.

Requirements

  • Juris Doctor (J.D.) degree
  • 3 years of experience as a commercial transactional lawyer, associate, in-house legal counsel, or in a related role, performing corporate and commercial transactional work and advising on corporate governance matters.
  • 3 years of experience with corporate law and corporate transactions
  • 3 years of experience running transactions through all phases of the deal lifecycle
  • 3 years of experience performing due diligence, negotiating confidentiality agreements, drafting term sheets, and drafting due diligence memorandum
  • 3 years of experience drafting and negotiating merger agreements, share purchase agreements, and asset purchase agreements
  • 3 years of experience drafting and negotiating ancillary deal documents, disclosure schedules, subscription agreements, and indemnification agreements
  • 3 years of experience advising on general corporate governance matters
  • 3 years of experience advising senior management on corporate legal issues
  • 3 years of experience analyzing the legal and regulatory implications of business transactions
  • 3 years of experience with general corporate restructuring and reorganization, including dissolution and liquidation of legal entities.
  • New York or Connecticut bar license
  • Up to 10% domestic/international travel
