About The Position
Our Finance practice group in Chicago is seeking experienced Leveraged Finance Associates to support clients in structuring, negotiating, and executing complex financing transactions. The role involves advising on secured and unsecured lending, acquisition financings, recapitalizations, and other leveraged transactions. The associate works with lenders, borrowers, private equity sponsors, and other stakeholders to ensure compliance with legal requirements and deliver practical solutions. The position requires strong analytical skills, attention to detail, and the ability to manage multiple projects efficiently.
Requirements
- Hold a Juris Doctor degree from an accredited law school
- Be admitted to practice and a member in good standing of the Illinois Bar
- Possess a minimum of 1 year (class of 2024) - 6 years of relevant experience in leveraged finance or related practice areas
- Demonstrate proficiency relative to class year in drafting and negotiating complex financial documents
- Possess a thorough understanding relative to class year of secured transactions, syndicated lending, and acquisition finance
- Apply strong analytical and problem-solving skills to legal and business issues
- Communicate effectively in writing and verbally with clients and colleagues
- Manage multiple projects and deadlines with attention to detail
- Use AI technologies responsibly and ethically in legal practice
- Maintain high standards of professionalism and integrity
Responsibilities
- Represent private equity sponsors and their portfolio companies and/or financial institutions that provide financing to private equity firms in debt financing transactions
- Assist and provide legal guidance to clients in structuring and executing leverage finance transactions
- Draft, review and negotiate various finance agreements, including credit agreements, bond indentures, commitment letters and term sheets, security agreements, guarantee agreements, intercreditor agreements and subordination agreements
- Advise clients on legal risks, regulatory requirements and market practices related to leveraged finance transactions
- Coordinate transaction closings, including preparation of closing checklists and management of documentation and process
- Address ongoing compliance-related inquiries
- Use AI technologies responsibly and ethically to enhance document review, and workflow efficiency
- Support business development activities, including preparing client presentations and contributing to thought leadership
- Stay current with legal developments and market trends
