We are seeking a highly organized, detail-oriented, and proactive Legal Counsel to support our Legal and Compliance team. This role is central to improving the efficiency, scalability, and effectiveness of our department’s daily operations, process management, and technology utilization. The ideal candidate thrives in a fast-paced environment and is committed to delivering operational excellence.

Requirements

  • 5+ years experience with a major law firm’s corporate, M&A, or IP practice groups or in-house legal department at a technology company
  • JD from accredited law school required; admitted to practice law in Illinois, New York, California, or Missouri
  • Excellent legal writing and drafting skills
  • Experience with corporate transactions, technology licensing, and intellectual property
  • Proficiency with Microsoft Office Suite (Word, Excel, PowerPoint, OneDrive)
  • Strong working knowledge of legal tech tools (CLM, e-billing, matter management)
  • Experience with AI tools and familiarity with corporate governance practices
  • Exceptional organization and attention to detail
  • Ability to manage multiple matters simultaneously and meet deadlines
  • Strong interpersonal and written/verbal communication skills
  • Proactive, self-starter with strong problem-solving orientation

Responsibilities

  • Serve as primary attorney drafting and negotiating Exegy’s commercial agreements with customers and vendors
  • Manage the contract lifecycle in partnership with internal stakeholders
  • Support corporate legal functions, including maintenance of corporate records, policies, and agreement templates
  • Lead responses to customer due diligence questionnaires (DDQs), coordinating internal reviews to ensure timely completion
  • Conduct legal assessments of third-party vendors, including review of vendor DDQ responses
  • Develop, document, and maintain operational procedures and workflows for contract management, litigation support, internal investigations, and compliance training
  • Serve as primary administrator and point-of-contact for key legal tools (e.g., CLM systems, matter management platforms)
  • Support evaluation, selection, and implementation of new technologies to improve departmental efficiency
  • Create and deliver training materials for new processes, systems, and technology tools
  • Review departmental invoices for compliance with billing guidelines and coordinate with outside counsel and vendors
  • Assist in tracking and monitoring the Legal and Compliance department budget
