About The Position

BPA is seeking a Legal Counsel to support its operations across Canada, with a focus on common law matters. The role involves providing practical legal advice on corporate, commercial, contractual, litigation, and governance matters, while working closely with internal stakeholders and external advisors. This is an opportunity for a proactive, business-minded lawyer in a fast-paced engineering and professional services environment. The position may be based in any Canadian location where BPA has an office.

Requirements

  • LL.B. or J.D. in common law.
  • Member in good standing of a provincial law society in a Canadian common law jurisdiction.
  • Two (2) years of post-call experience (in-house or in a law firm).
  • Strong knowledge of corporate law, commercial law, and contract law.
  • Excellent ability to communicate with stakeholders at all levels of the organization in English.
  • Strong legal drafting, negotiation, analytical, and problem-solving skills, combined with sound business judgment and a practical, solutions-oriented approach.
  • Ability to work independently, manage competing priorities, and thrive in a fast-paced environment.
  • Strong internal client-service orientation, interpersonal skills, and the ability to build effective working relationships with business teams, external counsel, insurers, and other advisors.

Nice To Haves

  • Familiarity with litigation management, insurance, mergers and acquisitions, and corporate governance is an asset.
  • French is an asset.
  • Experience in the engineering, construction, consulting, or professional services sector is an asset.
  • Ability to work with both common law and Quebec civil law concepts in a bilingual environment is an asset.

Responsibilities

  • Provide legal support across a broad range of matters affecting the firm’s operations, including commercial law, corporate law, litigation, mergers and acquisitions, and common law research.
  • Prepare corporate governance and transactional documentation in English, including shareholder and director resolutions, notices, agendas, and materials for Board of Directors and committee meetings.
  • Contribute to the preparation of continuous disclosure documents and develop presentations and supporting materials for the Board of Directors and shareholders.
  • Manage litigation and insurance matters in common law jurisdictions by coordinating with insurers, external counsel, and other advisors, while overseeing the renewal and administration of annual and specific insurance policies.
  • Work closely with business units and key stakeholders to provide practical legal guidance, review and update internal policies & support lease and employee rental management.
