About The Position

Northland Power is seeking a Legal Counsel to provide legal support across its international portfolio of energy projects and technologies located across the Americas and Europe. This role will cover the entire project lifecycle, from acquisition and origination through to disposition. The position requires the candidate to work from the Toronto office a minimum of four days per week, with potential for some international travel. Northland Power is an independent power producer focused on transforming the energy sector towards a sustainable future and a carbon-neutral landscape.

Requirements

  • 2+ years of post-call legal experience as a lawyer in a top-tiered law firm and/or in-house environment.
  • Transactional experience required - M&A, divestments, joint venture and/or partnership arrangements and financing.
  • Licensed and in good standing to practice law in a Canadian province.

Nice To Haves

  • Experience within the infrastructure sector is desired (preferably in the energy space).
  • Combination of experience with project development, management, construction, real estate and/or operations is an asset.
  • License to practice in another jurisdiction within the Americas or Europe is an asset.

Responsibilities

  • Support Northland’s Americas and International Hubs and the Safety, Projects and Development Office with existing and newly acquired projects, including advising on land matters, permitting, interconnection, local community agreements, litigation, offtake, tax equity, procurement, construction, operations and asset management.
  • Advise on matters related to project acquisitions and financings, formation and management of partnerships, project sell downs, requests for proposals, and due diligence.
  • Negotiate, review, and/or draft various commercial agreements, including shareholder and partnership agreements, equipment supply agreements, PPAs, EPC and O&M contracts, and related agreements such as non-disclosure and services agreements.
  • Coordinate with and manage specialty counsel in various jurisdictions.
