About The Position

South Bow is seeking a motivated and collaborative attorney to join our legal team. Reporting to the Associate General Counsel & Corporate Secretary, this role will focus on corporate law, with an emphasis on supporting corporate transactions, including mergers and acquisitions, business development initiatives, financing and capital markets activity, and supporting the related client groups across the organization. The successful candidate will work closely with the corporate legal team and internal stakeholders to provide strategic and practical legal advice that enables business objectives while managing legal risk. This position is open to candidates located in either Houston, Texas, United States or Calgary, Alberta, Canada.

Requirements

  • 7+ years of relevant experience in corporate (securities and/or M&A) law
  • Juris Doctor (JD) or LLB from an accredited law school
  • Legally authorized to work in the United States or Canada

Responsibilities

  • Partner with internal client groups (corporate development, business development, finance, treasury, investor relations, tax, human resources, external affairs, etc.) to deliver timely and effective legal support
  • Assist with corporate transactions, including NDAs, structuring, negotiation, drafting, diligence, closings, and post-close integrations
  • Support public and private financing activities, including debt and equity offerings, credit facilities, and other financing and capital markets activities
  • Identify and assess legal risks and developing strategies to mitigate risk and protect the Company’s interests
  • Oversee legal due diligence for transactional and related activities
  • Advise on applicable governance matters and securities laws, disclosure, and stock exchange requirements
  • Instruct and direct the activity of external counsel to support complex transactions
  • Act as a trusted advisor by taking ownership of assigned matters, fostering collaboration within a small, dynamic legal team, and influencing outcomes through clear, practical legal advice
