About The Position

Realty Income is seeking a Legal Counsel to join its fast-growing acquisitions legal team. This role will involve reviewing and drafting Non-Disclosure Agreements, managing confidentiality in the acquisition process, acquiring new properties, providing legal counsel and supervising legal services for assigned matters, and advising decision-makers throughout the Company.

Requirements

  • Juris Doctorate degree from an accredited law school.
  • Admission to at least one U.S. state bar.
  • 3+ years of relevant or on-point legal experience in commercial real estate acquisitions.

Responsibilities

  • Review and draft Non-Disclosure Agreements (NDAs) for new transactions and partnerships.
  • Manage confidentiality considerations related to acquisitions and new joint ventures.
  • Assist acquisition team with Letters of Intent and Term Sheets for unique transactions.
  • Coordinate, analyze, manage, negotiate, document, and close real estate acquisition and development transactions.
  • Review, draft, negotiate, and approve documents relating to real estate acquisition, including confidentiality agreements, letters of intent, purchase agreements, escrow instructions, lease agreements, amendments, assignments, estoppels, development agreements, title objection letters, deeds, closing documents, business entity documents, and transaction summaries.
  • Review, evaluate, and approve information and reports related to real estate acquisition, such as title commitments, plats, site plans, surveys, environmental reports, and engineering reports.
  • Analyze entitlement status and zoning issues.
  • Review existing loan documents and negotiate lender consent documents for assumption of in-place loans.
  • Supervise paralegals and legal assistants in coordinating escrow closings and post-closing matters.
  • Apply risk management techniques, assess potential exposure, and provide proactive advice on legal issues arising during acquisitions.
  • Communicate and negotiate with external parties, including brokers, external counsel, and third-party vendors.
  • Provide second-level review of attorney and paralegal work as needed.
  • Conduct general legal research and investigation.
  • Provide routine advice and counsel to all departments on legal matters.
  • Perform general legal document review, drafting, and negotiation.
  • Undertake special projects and duties as assigned.
