About The Position

The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The OSC's mandate includes protecting investors, fostering fair, efficient, and competitive capital markets, promoting confidence in capital markets, fostering capital formation, and contributing to financial system stability and risk reduction. This is achieved through policy, operational, and enforcement activities, and by contributing to national and global securities regulation development. The Corporate Finance Department, which regulates public companies and companies raising capital in the exempt market in Ontario and plays an active role in policy development, is seeking a Legal Counsel II. Requirements

  • A member of the Law Society of Ontario in good standing.
  • Minimum of 5 years’ experience practicing securities law.
  • Experience working with the securities regulatory regime as it applies to public companies and companies raising capital in the exempt market, ideally gained at a law firm or a reporting issuer.
  • Legal knowledge of capital markets and the ability to exercise good judgement.
  • Experience in policy development and regulation.
  • Demonstrated ability to establish collaborative working relationships within a team environment.
  • Ability to effectively balance regulatory objectives with practical business considerations.
  • Possess strong analytical, project management and communication skills.
  • Ability to successfully organize and manage multiple, complex projects and set and adjust priorities.

Responsibilities

  • Review prospectuses, applications for discretionary relief from securities legislation, exempt market activities and continuous disclosure filings.
  • Contribute to the development of policy initiatives, including adapting regulatory principles to industry trends and emerging issues.
  • Interact with other OSC divisions, market participants and their advisors, and others engaged with the capital markets.
