About The Position

As Legal Counsel, you will work with key managers, sales, and other personnel in the SS&C businesses to review, draft, and negotiate client and vendor contracts. You will also collaborate with IT, audit, and regulatory compliance personnel as needed. This role specifically supports the SS&C Health Solutions and SS&C Pharmacy Solutions businesses, focusing on revenue-generating contracts and initiatives. You will be a key member of a team responsible for drafting, negotiating, and managing contracts related to healthcare, privacy and security in healthcare, intellectual property, and software licenses. The ideal candidate is a commercially-minded attorney who understands business objectives, can effectively analyze and mitigate risks, and thrives under tight deadlines.

Requirements

  • Juris Doctor (JD) from an accredited law school and admission to at least one state bar.
  • 2+ years of experience drafting and negotiating high-volume commercial and transactional contracts, including services, SaaS, and software license agreements involving intellectual property and data privacy.
  • Working knowledge of data privacy and security requirements, including healthcare regulations such as HIPAA.
  • Must have experience with healthcare and pharmacy benefits management contracting.
  • Strong written and verbal communication skills, with the ability to clearly present, advise, and collaborate across stakeholders.

Nice To Haves

  • Experience with Medicaid, Medicare, Medicare Advantage, Medicare Part D, Medigap, EGWP, SNPs, PACE, CHIP, ACA, and other government sponsored health plan contracting and/or regulations is a plus.

Responsibilities

  • Draft, review, and negotiate a wide range of commercial agreements supporting SS&C Health’s business lines, including contracts with healthcare providers, payers, third party administrators, pharmacy benefit managers, pharmacy networks, and other industry partners.
  • Lead contract negotiations with clients, vendors, and strategic partners, covering agreements such as services, SaaS, software licensing, non-disclosure, and data privacy (including BAAs), from both provider and customer perspectives.
  • Support legal and contractual needs throughout the full sales cycle, including Requests for Proposal (RFPs) and Requests for Information (RFIs).
  • Provide timely, practical legal guidance to internal stakeholders in a fast-paced, high-visibility environment.
  • Advise on commercial, public sector, compliance, and corporate matters while identifying opportunities to improve processes and standardize templates.
  • Build strong cross-functional relationships and collaborate effectively across the organization.
