About The Position

Batbox is a sports technology company that aims to revolutionize how people play, experience, and connect through baseball. They are building a global ecosystem to make baseball accessible, social, and unforgettable by combining immersive gameplay, data-driven technology, and scalable business models. The Legal Counsel role is for a practical problem-solver who can provide clear, business-focused guidance on legal issues. This role will manage Batbox's daily legal needs, enhance contracts and legal processes, and support the company's growth in the U.S. and LATAM. The position is office-based in Dallas, part-time (up to 20 hours per week), and reports to the Chief Executive Officer. It covers commercial contracts, corporate governance, intellectual property, compliance, employment support, and strategic transactions. The Legal Counsel will collaborate with internal teams and external counsel to draft and negotiate agreements, manage entities, protect intellectual property, identify legal risks, and assist with fundraising and other business transactions. Requirements

  • A law degree and an active license to practice law in at least one U.S. jurisdiction, with eligibility to practice as in-house counsel in Texas.
  • 4–6 years of legal experience in a law firm, in-house legal department, or a combination of both, focused on corporate, transactional, or commercial matters.
  • Experience independently drafting, reviewing, and negotiating routine and moderately complex commercial agreements.
  • Sound judgment in identifying legal and business risks and knowing when outside or specialized counsel is needed.
  • Experience partnering with internal stakeholders and coordinating effectively with outside counsel.
  • Practical experience supporting corporate governance, entity management, compliance, licensing, and intellectual property matters.
  • Working knowledge of U.S. labor and employment law.
  • Strong written and verbal communication skills, with the ability to translate legal issues into practical business guidance.
  • Strong attention to detail and the ability to manage multiple priorities in a fast-paced, growing company.

Nice To Haves

  • Experience supporting a Texas-based workforce is preferred.
  • Experience working in-house or with a high-growth, private equity-backed, or venture-backed company is an asset.

Responsibilities

  • Draft, review, and negotiate routine and moderately complex commercial agreements, including licensing agreements, brand partnership and sponsorship agreements, vendor, service, and installation contracts, and non-disclosure agreements.
  • Support the review and negotiation of venue leases, management agreements, and other complex commercial arrangements.
  • Work with internal stakeholders to understand business needs, identify legal risks, and move agreements toward completion.
  • Coordinate with outside counsel on specialized, international, or higher-risk agreements as needed.
  • Support the day-to-day administration of Batbox Holdings and its subsidiaries.
  • Prepare routine board consents, resolutions, and other corporate documents.
  • Coordinate required corporate filings and maintain organized legal and governance records.
  • Work with external intellectual property counsel to coordinate trademark, patent, and copyright registrations in the U.S. and LATAM.
  • Maintain organized records of Batbox’s intellectual property registrations and renewal deadlines.
  • Review and update legal documents and customer-facing policies, including privacy policies, website terms and conditions, booking terms and waivers, and licensing program documents.
  • Identify potential legal issues involving consumer protection, privacy, technology, advertising, and coordinate specialized advice when needed.
  • Support the Chief People Officer with routine employment compliance questions, employee relations matters, and workforce documentation.
  • Identify matters requiring specialized employment counsel and coordinate with outside counsel on disputes, claims, and higher-risk decisions.
  • Draft, review, and negotiate contractor and consulting agreements.
  • Support the CEO, Finance team, and outside counsel with fundraising and other strategic transactions.
  • Coordinate NDAs, data rooms, due-diligence requests, closing materials, and related legal records.
  • Assist Finance and outside counsel with documentation involving SAFEs, convertible notes, and equity financings.
  • Act as the primary internal point of contact for outside counsel and coordinate legal matters across the business.
  • Maintain contract templates, legal records, matter trackers, and key renewal dates.
  • Identify opportunities to simplify legal workflows, improve templates, and use outside-counsel efficiently.
