About The Position

Provides legal counsel and advice to the corporation and its subsidiaries to ensure their effective operation in accordance with federal, state and local Laws.

Requirements

Juris Doctorate Degree from an A.B.A. accredited law school and admission to the bar.
Twelve (12) years’ experience as an attorney with at least six (6) years’ experience in securities law compliance, with a strong background in Securities Exchange Act of 1934 reporting, corporate governance, and stock exchange listing standard compliance.
Superior academic record.
Strong research and analytical skills.
Strong negotiation, human relations, oral and written communications skills.
Ability to understand and resolve complex legal issues and respond quickly to clients and third parties.
Excellent organizational and time management skills; strong initiative; ability to prioritize multiple assignments and meet deadlines.

Responsibilities

Provides legal advice on securities, corporate governance, and corporate law matters, with a focus on securities law reporting, compliance, and stock exchange listing standards
Implements the highest corporate governance standards and structure
Provides legal support for all SEC filings and reporting activities
Supports the Board of Directors and Board Committees, including meeting prep and support and annual stockholder meeting
Provides legal support for IR, including investor outreach
Provides legal support in financing and capital markets transactions.
Writes, reviews, and advises on legal contracts and agreements.
Represents the organization in legal matters.
Performs other duties as assigned.
