About The Position

This is an exciting opportunity to join Story's Legal team in a temporary capacity while providing coverage during a maternity leave. The initial engagement is expected to last approximately 4–6 months, with the opportunity to be considered for a permanent position based on business needs and performance. We are seeking a motivated and detail-oriented Junior Associate Legal Counsel to join our legal team at Story Cannabis, a dynamic and fast-growing cannabis company. This role will provide essential legal support across various corporate and regulatory matters, ensuring compliance with industry regulations while facilitating business growth. The Junior Associate Legal Counsel will be responsible for entity formation and management, assisting and managing due diligence for mergers, acquisitions and partnerships, contract review and negotiation, state regulatory filings, and other general corporate legal matters. This position offers an exciting opportunity to work in a rapidly evolving industry, gaining hands-on experience in cannabis regulatory compliance, corporate governance, and transactional law.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Licensed to practice law and in good standing in at least one U.S. jurisdiction.
  • 1-3 years of legal experience, preferably in corporate law or regulatory compliance (cannabis industry experience is a plus).
  • Strong understanding of corporate entity structures and governance.
  • Ability to manage multiple tasks and deadlines in a fast-paced environment.
  • Excellent organizational skills, attention to detail, and analytical abilities.
  • Strong written and verbal communication skills.
  • Proactive, adaptable, and eager to learn in a rapidly changing industry.

Responsibilities

  • Assist with the formation, structuring, and ongoing management of corporate entities.
  • Support due diligence efforts for potential M&A transactions, including document review and organization.
  • Review, draft, and negotiate a variety of contracts, including vendor agreements, NDAs, and service agreements.
  • Prepare and submit state regulatory filings, ensuring ongoing compliance with applicable cannabis laws and regulations.
  • Conduct legal research on corporate, compliance, and regulatory matters affecting the cannabis industry.
  • Support corporate governance activities, including maintaining corporate records and drafting resolutions.
  • Collaborate with internal stakeholders to provide practical legal guidance that aligns with business objectives.
  • Assist senior attorneys with other legal matters as needed.
