Charlotte Office - Investment Funds Mid-Level Associate
About The Position
Winston Taylor is seeking an associate with 4-6 years of significant experience in private equity fund formation and related matters. The ideal candidate will have experience, preferably at a large law firm or in-house, in assisting private equity fund sponsors with fund formation, including drafting and negotiating private placement memoranda, partnership agreements, and ancillary agreements. Experience reviewing fund documentation for institutional investors and negotiating fund terms is also desired. Additionally, experience structuring and drafting governing documents for private equity fund management companies and general partners is a plus. A working knowledge of securities rules and regulations, including the Investment Advisers Act, is required. Experience with private equity secondary transactions and/or GP-led restructurings would be beneficial. While the primary locations are Chicago, Charlotte, or New York, candidates for other offices will be considered. All candidates must be admitted to the state bar of their office location.
