This role leads client and vendor contract review, negotiation, and management across the corporate office and its subsidiaries, ensuring alignment with legal, financial, and SOC 2 Type II compliance requirements. The ideal candidate can step in quickly, manage the existing contract pipeline without disruption, and maintain continuity of process and documentation until the permanent Contract Administration & Procurement Manager returns.

Requirements

  • Bachelor’s degree in Business Administration, Finance, Supply Chain Management, or related field preferred.
  • 5–7 years of overall experience in contracts and contract administration.
  • 2–5 years of progressive experience in contract administration and management, ideally supporting the delivery of products or services to clients.
  • Strong negotiation, analytical, and contract management skills.
  • Familiarity with SOC 2 Type II controls and third-party risk management frameworks.
  • Exceptional attention to detail, stakeholder communication, and organizational skills.
  • Ability to ramp up quickly and manage an existing contract pipeline with minimal onboarding time.

Responsibilities

  • Draft, review, and manage all client, vendor, and service contracts across the enterprise.
  • Work with the Sales team and Sales leaders to process and streamline client contracting workflows for speed and efficiency.
  • Ensure contracts are compliant with legal, regulatory, and SOC 2 Type II control requirements regarding confidentiality, data access, and incident response.
  • Review key clauses, such as indemnification, termination, and intellectual property, to mitigate risk exposure.
  • Maintain the centralized contract repository with version control, key dates, renewal alerts, and audit documentation.
  • Coordinate with IT, Legal, and HR teams to align contract management practices with SOC 2 Type II security and confidentiality criteria.
  • Support contract due-diligence processes, including review of SOC 2 reports, cybersecurity questionnaires, and ongoing monitoring of control adherence.
  • Ensure secure data exchange and record retention protocols between vendors and internal teams.
  • Support annual SOC 2 audits by providing documentation and evidence related to existing contract and third-party vendor controls.
