About The Position

We are seeking an In-House Counsel to join our in-house legal team. This role focuses on transactional legal work in support of Odevo's acquisition-driven growth strategy, including drafting and negotiating agreements, supporting M&A due diligence, participating in company acquisitions, and driving legal standardization across acquired entities. The In-House Counsel works closely with the General Counsel and Assistant General Counsel across a broad range of legal matters.

Requirements

  • Juris Doctor degree and active membership in the Florida Bar.
  • 5 or more years of legal experience focused on transactions (contracts and agreements); litigation experience will not be considered in lieu of transactional experience.
  • Excellent legal writing and communication skills.
  • Superior legal research and analytical ability.
  • Strong drafting and negotiation skills in a transactional context.
  • Excellent time management and organizational skills, with the ability to manage multiple matters simultaneously.
  • Proficient with Microsoft Office (Word, Excel, and PowerPoint).

Nice To Haves

  • Experience with M&A transactions, purchase agreements, and due diligence strongly preferred.

Responsibilities

  • Prepare, draft, and negotiate transaction documents including purchase agreements, NDAs, letters of intent, and related ancillary agreements.
  • Support M&A due diligence processes, including review of contracts, corporate records, and identification of legal risks.
  • Assist with post-acquisition integration, including legal standardization of processes, templates, and agreements across acquired companies.
  • Prepare and revise contracts for review, approval, and use by the Company and its subsidiaries and affiliates.
  • Draft and respond to demand letters and other non-litigation matters, including matters involving administrative agencies.
  • Advise on legal and business risks related to transactions and ongoing operations.
  • Anticipate and guard against legal risks involving the Company and its subsidiaries and affiliates.
  • Proactively identify and provide suggestions and solutions to processes, workflows, and templates to drive efficiency in the Legal Department and across the organization.
  • Coordinate with external counsel on transaction matters as needed.
  • Assist the General Counsel and Assistant General Counsel with a variety of legal tasks as needed.
