About The Position

The Governance and Corporate Legal Analyst supports the organization’s governance structure and legal operations. This individual is responsible for coordinating and managing all aspects of board and management-level committee meetings, and ensuring effective communication between the board, committees and executive management. They maintain critical corporate and governance documents and oversee the administration of the board portal and entity management software. In addition to governance duties, the Governance and Corporate Legal Analyst provides legal support across various corporate functions.

Requirements

  • A bachelor’s degree is required (a paralegal degree is optional).
  • Proficient in using the Microsoft Office Suite, including Word, Excel, PowerPoint and SharePoint.
  • Strong MS Word skills.
  • Must enjoy helping others develop and succeed in a team-based environment.

Responsibilities

  • Oversee the cadence and scheduling of governance-related meetings, including aligning management-level meeting schedules with Board meetings.
  • Assist in drafting corporate meeting materials, including agendas, resolutions, written consents, and minutes.
  • Facilitate Board governance, including coordination of Board and Board Committee meetings, travel arrangements and meeting materials.
  • Facilitate clear and timely communication between leadership and Board members by preparing and distributing Board materials, coordinating meeting schedules, tracking follow-ups, and ensuring alignment.
  • Manage internal requests for Board information.
  • Act as an administrator for Boardvantage, the board portal.
  • Administer file folders/SharePoint sites for management-level governance committees, maintaining charters, minutes and membership lists.
  • Coordinate and act as secretary for management-level committee meetings when needed.
  • Coordinate logistics and documentation for annual and special shareholder meetings, including preparing meeting materials, managing communications, and maintaining accurate recordkeeping.
  • Oversee stock ledgers and manage shareholder information.
  • Oversee legal entity maintenance, including reviewing required state-level filings (e.g., annual reports, foreign qualifications, withdrawals), onboarding new entities, and updating corporate records.
  • Administer business entity databases (e.g., CT Advantage, Nasdaq Boardvantage).
  • Handle requests for legal entity support, including beneficial owner forms, KYC forms, and guidance on corporate officers and signing authority.
  • Act as liaison with GreatAmerica’s U.S. registered agent and foreign agents.
  • Maintain and manage the internal ethics site and email distro.
  • Conduct initial ethics reviews; update internal records and notify relevant departments.
  • Prepare and review Directors & Officers questionnaires; update internal records and notify relevant departments.
  • Support compliance with related party transactions, insider transactions, and management of interlocking relationships.
  • Support due diligence, document review and closing logistics for corporate transactions (e.g., mergers and acquisitions; securitization; real estate).
  • Support HR matters, including conducting exit interviews of HR team members.
  • Provide legal support for corporate litigation (or threatened corporate litigation) matters and other sensitive corporate matters (e.g., employment matters).
  • Manage certain sensitive corporate contracts (e.g., M&A agreements).
  • Assist with intellectual property management.
  • Assist with insurance management.
  • Assist with various other corporate requests directed to the Legal Department.
  • Be present during business hours with minimal absences (per GreatAmerica’s attendance policy).
  • Perform other duties as requested.
  • Conduct oneself in a manner consistent with GreatAmerica’s principles.
  • Demonstrate a strong commitment to GreatAmerica’s success.
  • Work on corporate matters for which confidentiality is very important.
